Are you an experienced Corporate Law Clerk looking to join a team-oriented and highly regarded law firm? Our client is expanding its Corporate/Commercial Law practice and is seeking a motivated professional to support a wide range of corporate transactions, governance matters, and corporate maintenance activities.
This role offers the opportunity to work closely with lawyers and clients on complex corporate matters while building your expertise in corporate records management, reorganizations, due diligence, and transactional support.
What you will be doing:
Managing corporate records and minute books for a portfolio of private companies.
Preparing and filing corporate documents related to incorporations, reorganizations, amalgamations, continuances, and dissolutions.
Drafting resolutions, share transactions, corporate governance documents, and other corporate records.
Coordinating corporate maintenance activities, including annual resolutions and compliance filings.
Conducting corporate searches and due diligence in support of commercial transactions.
Assisting lawyers with transactional closings, corporate reorganizations, and complex corporate matters.
Serving as a key point of contact for clients, regulatory bodies, accountants, and other advisors.
Reviewing corporate records to identify deficiencies and ensure ongoing compliance
Requirements:
Qualifications:
Law Clerk diploma or equivalent legal education
3+ years of corporate law clerk experience
Experience with incorporations, reorganizations, share transactions, and minute book maintenance
Excellent organizational skills and attention to detail
Robust written and verbal communication skills
Ability to manage multiple priorities in a fast-paced workplace
What we offer:
Salary based on experience $65,000 - 85,000
