EDC's Mining and Metals team has supported the sector for more than 30 years, executing over 50 mining transactions representing more than US$7.5 billion in financing globally. In addition, EDC's Investment team manages $3.5 billion in committed and invested capital across private equity, venture capital, and fund investments, directly supporting more than 200 Canadian exporters and investing in over 100 Canadian private equity and venture capital funds.

Compensation Details:

Senior Manager (Underwriter 21): Offered salaries are based on qualifications and experience, and typically range from $180,000 - $225,000, plus a performance-based incentive

Principal (Underwriter 22): Offered salaries are based on qualifications and experience, and typically range from $190,000 to $260,000 plus a performance-based incentive

Location:

Export Development Canada operates in a hybrid work environment, with a current requirement of three days in-office days per week (subject to change)

This role can be performed from EDC's headquarters in Ottawa or from our Community Hubs in Toronto or Montreal

About the Role:
Reporting to the Director, CCMA and supporting EDC's executive leadership team, the Senior Manager / Principal, Critical Mineral Investments will play a key role in originating, structuring, and executing strategically important investments across Canada's critical minerals value chain. The successful candidate will lead complex transactions from initial opportunity assessment through due diligence and execution, deploying a range of capital solutions, including equity, debt, hybrid instruments, structured-finance solutions, offtake agreements, and price-stabilization mechanisms. Operating at the intersection of investment, project finance, capital markets, and public policy, the successful candidate will work closely with project sponsors, investors, financial institutions, governments,



and industry participants to mobilize private and institutional capital alongside CCMA funding. The successful candidate will contribute to projects spanning mining, processing, refining, recycling, and enabling infrastructure, helping to advance Canada's critical minerals capacity and strengthen the resilience of domestic and allied supply chains.

Key Responsibilities
Transaction Origination, Structuring and Execution

Lead complex mining, metals, critical minerals, and related infrastructure transactions from origination through structuring, due diligence, negotiation, approval, documentation, and financial close

Identify and originate investment opportunities that advance the CCMA's strategic objectives and develop a strong pipeline of prospective transactions, in alignment with government stakeholders

Structure tailored financing solutions across the capital structure, including equity, debt, hybrid instruments, structured finance, offtake agreements, and price-stabilization mechanisms, that are designed to mobilize capital from project developers, private and institutional investors, financial sponsors, and project finance lenders

Assess project economics, financing requirements, capital structures, investment returns, risk allocation, and key transaction considerations

Lead financial analysis, valuation, scenario analysis, and project cash flow modelling to support investment and credit decisions

Prepare and present investment and credit recommendations to senior management and relevant decision-making committees

Stakeholder Management

Build and maintain relationships with project sponsors, investors, financial institutions, government stakeholders, industry participants, and other strategic partners

Lead multidisciplinary transaction teams, coordinating internal specialists and external advisors throughout due diligence, negotiation, documentation, and closing

Negotiate financing, investment, shareholder, intercreditor, offtake, and other transaction agreements

Lead syndication initiatives to bring strategic risk-sharing participation into projects supported by CCMA

Collaborate closely with government stakeholders as well as EDC's internal legal, risk, economics, environmental and social, and portfolio management teams to advance transactions effectively

Portfolio Management and Risk Oversight

Oversee assigned investments and financing exposures following financial close, maintaining an informed view of financial and operational performance

Monitor project developments, compliance requirements, emerging risks, and other factors that may affect investment performance and complete periodic investment or credit reviews

Lead amendments, waivers, restructurings, follow-on investments, and other material portfolio decisions as required

Provide senior management with clear recommendations regarding portfolio performance, key risks, mitigation strategies, and potential courses of action

Sector Expertise and Strategic Advice

Monitor commodity markets, financing conditions, policy developments, and broader trends affecting critical minerals, mining, metals, and related infrastructure

Advise senior leaders on transaction strategy, market practices, sector developments, financing alternatives, and emerging opportunities

Contribute to the continued evolution of the CCMA's investment approach and EDC's capabilities in supporting strategically important critical minerals projects

Distill complex financial, commercial, technical, and policy considerations into clear investment theses, transaction strategies, and executive-level recommendations

Coach and mentor colleagues involved in transaction analysis, structuring, and execution, contributing to the continued development of the broader team

What We Are Looking For
Technical Skills and Experience

10+ years of progressive experience in project finance, infrastructure investing, private equity, investment banking, transaction advisory, corporate finance, or a comparable transaction- focused workplace, with a minimum of 5 years leading the execution of complex transactions





Proven track record leading complex transactions through origination, structuring, due diligence, negotiation, approval, documentation, closing, and subsequent portfolio management

Demonstrated experience originating opportunities, cultivating senior-level relationships, and developing transaction pipelines

Experience structuring and executing transactions across multiple layers of the capital structure, including equity, debt, hybrid instruments, and structured-finance solutions

Relevant experience in mining and metals, critical minerals, natural resources, infrastructure, or an adjacent capital-intensive sector

Strong understanding of transaction structuring, valuation, financial modelling, project cash flow analysis, investment returns, and risk allocation

Demonstrated ability to assess project economics, financing requirements, capital structures, commercial risks, and key investment considerations

Strong negotiation skills and experience working through complex financing, investment, shareholder, intercreditor, offtake, and related commercial arrangements

Experience working with multidisciplinary deal teams and coordinating internal specialists, external advisors, counterparties, and other stakeholders

Experience with an infrastructure investor, pension fund, private equity fund, development finance institution, investment bank, commercial bank, mining company, or government- backed investment platform would be considered an asset

Experience working at the intersection of commercial finance, project development, and public policy objectives would be considered an asset

Ability to synthesize complex financial, commercial, technical, and market information into clear investment theses, transaction strategies, and executive-level recommendations

Education

Post-secondary degree in finance, business, engineering, law, economics, or a related discipline

CFA, CPA, CBV, MBA, professional engineering designation, legal qualification, or another relevant professional credential is preferred

Ability to communicate effectively in both English and French would be considered an asset
