- Leader responsible for designing, implementing, and managing executive compensation programs that attract, retain, and motivate top executive talent while aligning pay with company performance and shareholder value.
- This role partners closely with senior leadership, the Compensation Committee of the Board of Directors, and key stakeholders to ensure programs are competitive, compliant, and supportive of the company’s business strategy and governance standards
- Lead the design and execution of executive compensation programs, including base salary, annual incentives, long-term incentives, and special awards
- Ensure programs are market competitive, performance driven, and aligned with shareholder interests and company strategy
- Provide expertise on compensation trends, emerging practices, regulatory changes, and proxy advisor perspectives
- Develop and oversee executive compensation job evaluation, leveling, and approval processes in partnership with HR and executive leadership
- Partner with the Compensation Committee by preparing materials and analyses to support executive pay decisions
- Develop and present executive compensation recommendations and governance updates
- Support preparation of the annual CD&A; and executive compensation disclosures for proxy and SEC filings
- Manage the relationship with the Board compensation consultant
- Ensure compliance with SEC, IRS, stock exchange,
and other regulatory requirements
- Manage risk assessments, pay for performance reviews, and shareholder engagement materials
- Partner with Legal, Finance, and Investor Relations to maintain transparent disclosures
- Oversee administration of executive pay programs, including equity grant cycles, incentive plans, and retention awards
- Lead competitive benchmarking analyses using survey and peer group data
- Collaborate with Finance on budgeting, forecasting, and accounting implications
- Manage and develop a small team while fostering analytical rigor and professional growth- Bachelor’s degree in Human Resources, Finance, Business Administration, or related field; MBA or advanced degree preferred
- Extensive compensation experience with deep expertise in executive compensation
- Experience preparing materials for Compensation Committees and Boards of Directors
- Deep knowledge of executive compensation regulations, governance trends, and best practices
- Excellent communication and presentation skills
- High integrity, discretion, and judgment
- Proven leadership and talent development capabilities
- Robust analytical and financial modeling skills with exceptional attention to detail
- Strategic mindset with the ability to balance competitiveness, cost, risk, and shareholder alignment
