Our securities counsel handles our regulatory and continuous disclosure filings.

This role is about everything else: the option, earn-in, joint venture, royalty, consulting, contractor and confidentiality agreements that build and run an exploration portfolio across two countries. You will take these agreements from term sheet to first draft, manage redlines with counterparties and our Canadian and West African lawyers, get them ready to be signed, and then track every payment, expenditure commitment and deadline they create. Much of our Côte d'Ivoire documentation and correspondence is in French, so we are looking for someone who works comfortably in both French and English.

The split is roughly 60% contracts and legal work, 25% executive support and 15% investor relations support, and it will shift with the company's calendar. You will work directly with the CEO and outside counsel, see every deal end to end, and build a transactional track record faster than you would in a firm — with normal hours and no billable targets.

What You'll Do:

- Prepare first drafts of project and commercial agreements from precedents and term sheets — mineral property option and earn-in agreements, joint venture and shareholder agreements, royalties, purchase and sale agreements, NDAs, letters of intent, consulting and contractor agreements (geologists, drilling and field services), and amendments and extensions
- Run the redline process: consolidate comments from the CEO, Canadian counsel, local counsel in Côte d'Ivoire and Ghana,



and counterparties; maintain version control; flag business points that need a decision; prepare execution versions and closing checklists
- Work in both languages: review and summarise French-language agreements, permits and correspondence from Côte d'Ivoire, coordinate with Ivorian counsel and partners in French, and manage translations where a formal English or French version is required
- Act as the day-to-day point of contact for the company's external legal team — relaying instructions, tracking deliverables and deadlines, and managing legal invoices against budget
- Own the contracts register: option payments, work and expenditure commitments, milestones, permit renewals, notice periods, expiry dates and counterparty obligations — with reminders in advance and the notices and payment memos ready when they fall due
- Prepare plain-language summaries of agreements and obligations for the CEO and board, assemble data rooms and due diligence responses for transactions, and give securities counsel what they need for board approvals and filings that arise from agreements
- Proofread agreements, news releases, board materials and presentations before they go out — defined terms, cross-references, numbering, schedules and execution pages




- Maintain the investor and analyst contact database and distribution lists; coordinate news release distribution and website and presentation updates
- Update materials for roadshows, investor meetings and online distribution

What You Bring:

- Paralegal diploma or certificate from an accredited program, or equivalent law firm training
- Professional working proficiency in both French and English, written and spoken — strongly preferred, and a significant advantage in this role
- 1–4 years in a corporate, commercial or mining practice group, or in an in-house legal or contracts role — drafting agreements from precedents and managing redlines with multiple parties
- Experience tracking contractual obligations and key dates, and preparing notices and summaries from executed agreements
- Fluent in tracked changes, defined terms and cross-references; excellent written English; strong organization; and the discretion to handle material non-public information every day as a company insider
- Comfort with a small team and shifting priorities, and a willingness to take on executive support and investor relations tasks that fall outside a traditional paralegal role

Robust Assets:

- Experience with mineral property option, earn-in, joint venture or royalty agreements
- Experience with junior mining
