About the Role

Our client is seeking a seasoned Legal Counsel with extensive experience in Mergers & Acquisitions (M&A;) to join their team in a fully remote capacity. This critical role will support the company's strategic growth initiatives by providing expert legal advice on all aspects of M&A; transactions, from initial structuring and due diligence through to closing and post-merger integration. You will collaborate closely with senior management, business development, and finance teams to ensure successful and legally sound deal execution. This is an exceptional opportunity for a highly motivated M&A; lawyer to work on significant transactions in a flexible, remote-first environment.

Key Responsibilities

- Lead and manage all legal aspects of M&A; transactions, including deal structuring, negotiation, and closing.
- Conduct and oversee comprehensive legal due diligence investigations.
- Draft, review, and negotiate key transaction documents, such as purchase agreements, disclosure schedules, and shareholder agreements.
- Advise on regulatory compliance, antitrust, and securities law matters related to M&A; activities.
- Coordinate with internal business teams,



external legal counsel, and other advisors.
- Manage post-closing integration activities from a legal perspective.

Requirements

- Law degree (LLB or equivalent) and admission to practice law.
- Minimum of 8 years of progressive experience in M&A; law, with a strong track record of managing complex transactions.
- Deep understanding of M&A; legal principles, deal structures, and relevant regulations.
- Proven ability to lead and execute M&A; deals efficiently and effectively.
- Excellent negotiation, drafting, and analytical skills.
- Must be comfortable and effective working independently in a fully remote setting.
