- Incorporate and maintain subsidiaries and affiliated entities in Canada and the United States
- Prepare corporate filings, amendments, registrations, annual filings, and corporate declarations
- Draft annual and special shareholder and director resolutions
- Support Board and committee activities for affiliated entities, including calendars, consents, minutes, and meeting materials
- Maintain minute books, corporate records, registers, and organizational charts
- Coordinate changes related to directors, officers, signing authorities, and governance records
- Respond to internal requests for corporate information and liaise with external counsel and service providers
- Support corporate reorganizations, joint ventures, RFPs, procurement processes, and other transactions
- Prepare resolutions, officer certificates, closing documents, signature packages, and closing checklists
- Coordinate due diligence processes, virtual data rooms, document execution, and post-closing deliverables
- Assist project teams with RFP submissions, procurement documentation, certifications, and related corporate materials
- Develop and maintain legal templates, precedents, checklists, and tracking tools
- Support document management, contract management, and entity-management systems
- Contribute to improving legal workflows, filing practices, compliance calendars, and reporting tools
- Assist with audits, internal reporting requirements, and other Legal Affairs initiatives
Requirements
- Bachelor’s degree, Paralegal Diploma, or Paralegal Certificate from an accredited institution
- 3 to 5 years of relevant paralegal experience within a law firm or corporate legal department
- Experience maintaining corporate records, annual filings,
and corporate reorganizations
- Solid understanding of corporate legal terminology, procedures, governance, and documentation
- Knowledge of Canadian corporate law and governance, including British Columbia and federal corporations
- Experience with U.S. corporate matters, renewable energy, infrastructure, or project development is considered an asset
- French language skills are considered an asset
