Opportunity Our client is seeking a

Fractional Legal Counsel

to provide practical legal support, managing the full lifecycle of high‑volume contribution agreements and related contracts. The role delivers risk‑based legal advice that supports program delivery, sound governance, and stewardship of public funds, and advises on governance, confidentiality, intellectual property, and risk matters while partnering with internal teams to improve contracting consistency and efficiency.

Responsibilities

Lead end‑to‑end agreement lifecycle

(high volume): Draft, review, negotiate, and finalize contribution agreements and related program/operational contracts from intake through execution.

Manage negotiations and redlines : Drive mark‑ups to resolution, recommend practical positions, and balance legal risk with program and business realities.

Amendments, extensions & change documentation : Prepare and negotiate amending agreements, extensions, and contract changes (scope, term, budget, conditions, etc.) and ensure alignment to original intent.





Template and clause standardization : Maintain and improve agreement templates, clauses, and playbooks to increase consistency, reduce cycle time, and support repeatable contracting.

Governance and board/committee support : Provide legal support on governance matters (e.g., bylaws/articles and committee requirements) and advise on board/committee documentation and processes as required.

Senior executive liaison, communications, and reporting : Serve as a key legal point of contact for senior leadership; prepare and present clear, timely updates and recommendations on material legal, governance, and contracting matters.

Corporate records and statutory filings : Maintain and oversee corporate records (e.g., minute books and resolutions) and coordinate required filings and updates (e.g., Corporations Canada and other applicable registries), ensuring records are accurate, complete, and up to date.

Confidentiality, IP, and information‑sharing : Review/draft NDAs and provisions addressing confidentiality, IP, and data/open‑information considerations; ensure appropriate protections are in place in accordance with applicable legislation and organizational policies.

Risk, insurance, and operational legal support : Advise on risk allocation, insurance requirements and contract provisions in operational arrangements (including leases and related documentation where applicable).

Cross‑functional legal advisory :



Partner with internal stakeholders to translate program/business requirements into workable legal terms to ensure risks are reasonably addressed and guide teams on contract interpretation and next steps.

External counsel oversight

(as needed): Manage targeted outsourcing, review external counsel deliverables, and ensure advice aligns with organizational risk tolerance and operational needs.

Regulatory, legislative, and policy advisory : Monitor and advise on applicable legislation, regulatory requirements and internal policies affecting agreements, governance, privacy, and program delivery.

Qualifications & Experience

Juris Doctor (JD) or Bachelor of Laws (LLB) from a recognized Canadian law school, or an equivalent credential recognized by the National Committee on Accreditation (NCA).

Member in good standing with the Law Society of Alberta, or eligible for immediate admission and able to obtain membership within a defined period of hire.

5+ years relevant experience gained in private practice, government, in‑house, or non‑profit environments, with demonstrated exposure to regulatory, commercial, or public‑interest matters.

Demonstrated experience drafting, revising, and negotiating contracts with significant redline volume.

Strong working knowledge of amendments (amending agreements, extensions, change orders/scope changes).

Ability to run multiple matters in parallel with strong organization and attention to detail.

Transparent, business‑friendly communication style – able to explain risk and options to non‑legal stakeholders.

Comfortable working as a sole or primary legal resource on assigned matters, including determining when external legal advice is required and overseeing external counsel as needed.
