Advise on IPOs and equity transactions as Axiom’s Equity Capital Markets Counsel in Toronto, using securities law and regulatory expertise daily. Support bank-led deals across Canada’s corporate and securities practice.

This counsel role focuses on equity capital markets transactions and related corporate finance work. You will advise deal teams on structuring, documentation, and compliance with securities laws and stock exchange requirements. The work spans IPO processes, equity offerings, and transaction execution with internal teams, clients, and external parties.

Key Responsibilities:

- Support IPOs and bank-led equity capital markets transactions
- Advise deal teams on transaction structure and compliance
- Draft and review prospectuses and underwriting agreements




- Negotiate transaction-related legal documentation
- Coordinate execution with clients and external parties

Requirements:

- Five or more years in equity capital markets or securities law
- At least three years of post-qualification equity markets experience
- Knowledge of SEC regulations and Canadian listing rules
- Understanding of IPO processes, bond offerings, and covenant structures
- Excellent communication and interpersonal collaboration skills
