About the Role

The Company is seeking a senior legal leader to advise on Canadian funds and securities matters as it expands its regional operations. Responsibilities include negotiating agreements with fund managers and distribution agents; drafting and reviewing fund offering materials, partnership agreements, side letters, placement agreements, and other legal documents; and advising on fundraising, marketing, investor relations,

fund formation, and transactions. The role will provide guidance on Canadian securities and regulatory issues, support entity governance and compliance, assess the legal implications of services, coordinate external counsel, and conduct legal research.

Candidates should have at least eight years of Canadian fund formation experience in investment management, particularly with private equity and hedge funds, and be a member in good standing of the Law Society of Ontario or an equivalent provincial law society. Strong knowledge of Canadian securities laws and regulation, including registrant requirements, private placements, and rules relevant to asset management and fund offerings, is required. Applicants should bring substantial experience drafting and negotiating fund documentation, along with robust interpersonal, leadership, organizational, and analytical skills. Law firm or in-house asset management experience is required; familiarity with U.S. securities laws is an asset.
