About the Opportunity Our client, a leading global biopharmaceutical company, is seeking an experienced Commercial Lawyer to support its Canadian legal team on a remote basis. This is a full-time engagement expected to run through at least the end of the year, with the potential for extension. This professional will provide broad commercial contracting support to the Canadian business, drafting, reviewing, and negotiating a range of standard and complex commercial agreements. The ideal candidate will have strong in-house commercial experience and be able to step into a fast-paced workplace, independently manage matters, and provide practical, business-oriented legal guidance. Experience within the pharmaceutical or another regulated industry is helpful but not required.

Key Responsibilities

- Draft, review, and negotiate a broad range of commercial agreements, including distribution agreements, procurement agreements, master services agreements, statements of work, purchase orders, and other commercial contracts.
- Independently manage both standard and complex commercial contracting matters from initial review through negotiation and execution.
- Partner directly with internal business stakeholders to understand commercial objectives, assess legal and business risks, and provide practical guidance.
- Identify and clearly communicate material contractual risks while developing pragmatic solutions that enable the business to move forward.
- Manage multiple matters and shifting priorities in a fast-paced business environment.
- Provide responsive, client-facing legal support and collaborate effectively with stakeholders across the Canadian business.
- Support additional commercial legal matters based on business needs and the lawyer’s experience, which may include matters related to product launches. Qualifications
- Qualified Canadian lawyer with significant commercial contracts experience.
- Strong experience drafting, reviewing,

and negotiating both standard and complex commercial agreements.
- Prior in-house legal experience, ideally supporting a multinational organization.
- Demonstrated ability to independently manage commercial matters and provide practical legal advice with minimal supervision.
- Strong commercial judgment and the ability to appropriately assess and communicate legal and business risk without unnecessarily impeding business objectives.
- Ability to work effectively in a fast-moving environment, shift priorities when needed, and take a flexible, solutions-oriented approach.
- Strong interpersonal and client-service skills, with the ability to work directly and collaboratively with business stakeholders.
- Experience within the pharmaceutical, life sciences, or another regulated industry is preferred but not required.
- Experience supporting product launches is a plus but not required.
- Epiq Counsel partners with industry-leading clients in support of their sophisticated interim talent needs. Must be interested in practicing in an alternative, fixed-term legal services model. Benefits
- Remote role based in Ontario.
- Full-time engagement of approximately 40 hours per week.
- Chance to provide hands-on commercial legal support to a leading global biopharmaceutical company.
- Engagement expected to continue through at least the end of the year, with the potential for extension. Should your experience meet the role requirements, the Epiq Counsel team will contact you.
