Description
ABOUT VALSOFT VENTURES
Valsoft is a Montreal-based company that acquires and grows vertical market software businesses, with a portfolio of 140+ companies that spans dozens of industries and countries. Valsoft Ventures is where we build recent companies from scratch. Each venture starts with a founder in residence and runs on Valsoft’s capital, infrastructure, and support, and its first customers often come from inside Valsoft’s own portfolio.
THE OPPORTUNITY
We’re looking for a Tax Manager to own tax for the companies Ventures builds (currently 4). You’ll set each new company up correctly from the start, keep it compliant as it grows,
and build the process every future venture follows. The work centres on Canada and the U.
S., with filings elsewhere coordinated through local advisors as ventures enter new markets.
In one week you might register a new entity, review a U.
S. state return for an older venture, and walk a founder in residence through what QST means for their first Quebec customer. The hard part is that every venture is different and none of them waits for tax. Founders move fast, priorities shift when a venture changes direction, and you’ll often set up a company whose product isn’t finished yet.
AI should be part of how you work. Use it to research, draft, analyze, and automate. You’re responsible for the quality of the result.
What You’ll Do
- Set up each new venture correctly. When Ventures decides to build a company, you’ll work out what tax needs to be in place before it takes its first customer: structuring input, registrations, elections, and how its products and pricing are taxed. You’ll work with the founder in residence, Valsoft’s finance and legal teams, and the VP, Tax on structuring decisions.
- Run compliance across the ventures. Manage Canadian federal and provincial corporate income tax returns and U.
S. federal and state income and franchise tax returns for each venture, reviewing what external providers prepare.
Keep a tax calendar, records, and audit files for every company, and resolve notices and correspondence from the CRA, Revenu Québec, the IRS, and state authorities.
- Own sales and indirect tax. Own U.
S. sales and use tax for the ventures: nexus monitoring, registrations, taxability analysis, filing, and remittance. In Canada, manage GST/HST and QST, including registrations, returns, and input tax credit and input tax refund recovery.
- Handle intercompany and group reporting. Ventures run on Valsoft’s capital, infrastructure, and support, which means intercompany arrangements from the first day. Set up and document those arrangements, coordinate transfer pricing documentation with external advisors in line with CRA, IRS, and OECD guidelines, and support any inquiries.
- Build the tax process Ventures runs on. Design the processes, controls, and tools that let tax keep up as the number of ventures grows, and decide where a tax engine or automation is worth adding. Founders, finance, and legal will treat you as their main contact on tax, and you’ll explain requirements in plain terms.
What We’re Looking For
- A CPA designation (Canada or U.
S.) and at least 4 years of post-designation tax experience in public accounting or a corporate tax environment, with exposure to both Canadian and U.
S. tax.
- Working knowledge of transfer pricing, international tax, and tax accounting under IFRS.
- You can look at a new business model and work out what tax it triggers before it launches, and give a founder a clear answer they can act on the same day.
- You prepare, review, and file returns yourself, and you manage external advisors
