About the Role

Our client, a rapidly expanding e-commerce platform, is seeking a talented and adaptable Remote Corporate & Commercial Lawyer to join their dynamic, geographically dispersed legal team. This position is ideal for a legal professional looking for a fully remote role, operating from anywhere in South Africa , with a primary focus on supporting the company's commercial operations and corporate governance needs. You will be responsible for drafting and negotiating a variety of commercial contracts, advising on corporate structuring, and ensuring compliance with relevant business laws. This role requires a proactive individual who thrives in a fast-paced, remote environment and can provide practical, commercially-sound legal solutions. Key Responsibilities

- Draft, review, and negotiate a broad range of commercial agreements, including supplier agreements, partnership agreements, terms of service, and marketing agreements.
- Advise on corporate governance matters, board resolutions, and shareholder agreements.
- Conduct legal research and provide strategic advice on various corporate and commercial law issues.
- Ensure compliance with South African company law, consumer protection legislation, and other relevant business regulations.
- Support business development initiatives by providing legal input and risk assessment.
- Manage contract lifecycle and maintain an organized contract management system.
- Assist in managing legal aspects of corporate restructuring, mergers, and acquisitions as needed.




- Collaborate effectively with internal teams, including sales, marketing, operations, and finance, in a remote setting.
- Respond to legal inquiries from various departments within the organization.
- Stay updated on legal developments impacting the e-commerce and digital industries.

Requirements

- Admitted Attorney of the High Court of South Africa with a minimum of 6 years of post-qualification experience.
- Strong background in corporate law and commercial contract drafting and negotiation.
- Proven ability to work independently and manage a substantial workload in a remote workplace.
- Excellent analytical, problem-solving, and communication skills.
- Familiarity with e-commerce business models and related legal challenges is highly desirable.
- Proficiency in legal research tools and standard office productivity software.
- Detail-oriented with a commitment to accuracy and efficiency.
- Ability to build strong working relationships remotely with diverse teams.
- Discretion and ability to handle confidential information effectively.
