Title: Legal Counsel - M&A;

Location: Greater Toronto Area, Ontario

Contract: 6 months, with potential to become permanent

The Opportunity
A leading industrial technology and manufacturing organisation is looking for an experienced Legal Counsel to join its team on an initial 6-month contract, with the potential to transition into a permanent position. This is a hands‑on opportunity to support an active M&A; transaction, working closely with senior internal stakeholders, external legal counsel and other advisors.

Key Responsibilities
Provide legal support throughout an active M&A; transaction
Draft, review and negotiate M&A; agreements and related commercial contracts
Support legal due diligence and identify key legal and commercial risks
Review and negotiate transaction documentation
Work closely with senior business and finance stakeholders

Liaise with external legal counsel and transaction advisors Provide practical, commercially focused legal advice throughout the transaction




Support the business through the negotiation and execution of transaction documentation
Assist with broader corporate and commercial legal matters where required

Experience Required
Bachelor of Law degree
Qualified lawyer with eligibility to practise in Ontario
4+ years of relevant legal experience
Strong experience in M&A; and transactional contracts
Proven experience supporting M&A; transactions and legal due diligence
Solid contract drafting and negotiation skills
Commercially minded, with the ability to provide practical business-focused legal advice
Comfortable working with senior stakeholders and external advisors
Able to work effectively in a fast-paced, transaction-focused setting
