Use corporate and securities expertise to manage cross-border transactions for Zena Tech, a Nasdaq-listed technology company based in Toronto.
As Senior Corporate Counsel, you will take ownership of complex deals across Zena Tech’s AI drone, Drone as a Service, and Enterprise Saa S businesses. The position supports major public and private company transactions while addressing securities disclosures, governance, and regulatory obligations. Close coordination with senior legal leadership and outside counsel is central to the work.
Key Responsibilities: Plan and execute significant corporate transactions
Draft complex commercial and securities documents
Support continuous disclosure and corporate governance
Coordinate specialized outside legal counsel
Manage cross-border regulatory obligations across listings
Requirements: Licensed Ontario lawyer in valuable standing
Three to six years of legal practice
Public transaction experience including IPOs or bids
Familiarity with U. S. SEC rules an asset
Ability to manage multiple major transactions
Apply corporate transaction judgment and securities knowledge while supporting Zena Tech’s cross-border legal work across technology markets.
