Shape Coveo’s capital markets and securities work as Senior Legal Counsel, supporting a TSX-listed technology company with strategic legal advice. As Senior Legal Counsel, Corporate and Assistant Corporate Secretary, you will handle sophisticated matters across capital markets, securities, corporate governance, and equity management. Reporting directly to the Senior Vice President and General Counsel, you will advise on financing, capital deployment, continuous disclosure, share repurchases, and public-company obligations. The role also supports broader corporate matters and strategic initiatives with significant autonomy. Key Responsibilities:





Advise on financing and capital markets transactions Support continuous disclosure and securities filings Manage equity issuance and equity awards Advise on capital deployment and share repurchases Support Board materials, resolutions, minutes, and governance advice Requirements:

At least five years of relevant corporate law experience Public-company, capital markets, or securities experience is valuable Ability to translate legal complexity into actionable advice Independent ownership of complex matters and transactions Strong French and English communication skills Apply capital markets judgment, securities knowledge, and explicit communication to Coveo’s equity and public-company responsibilities.
