About Corporate Minds

Corporate Minds Financial Ltd. is a Vancouver-based corporate services firm supporting private and public companies, including companies preparing to go public, with bookkeeping, accounting, corporate secretarial, financial reporting and filing services. We work with companies listed on the CSE and TSX Venture Exchange, mostly in mining and resources, as well as technology and health. We help clients reduce professional fees through efficient accounting, compliance and secretarial processes, keep their records organized for audits and due diligence, and meet their monthly, quarterly and annual filing requirements, so they have more time to grow their businesses. As a paralegal here, you will see how a listed company runs from the board table to the filing.

The role

We are looking for a Corporate & Securities Paralegal to own corporate secretarial and securities work for a portfolio of public and private company clients. You will work directly with CEOs, CFOs, boards, legal counsel, transfer agents and the exchanges, and report to our Corporate Administrator and Managing Principal. We are a corporate services firm, not a law firm: clients come to us for fast, practical turnaround, and you will often be their first call.

What you'll do

Corporate records and governance

- Maintain minute books (paper and electronic), central securities registers, and stock option, warrant and RSU registers
- Draft directors' and shareholders' resolutions, consents to act, resignations, meeting notices, agendas and minutes; attend board meetings as recording secretary
- Incorporate and maintain B.C. companies and handle BC Registry filings: annual reports,

director and address changes, name changes, notices of alteration and dissolutions; Corporations Canada annual returns; filings for extra-provincial and U.S. subsidiaries
- Onboard current clients' records and remediate incomplete minute books

Continuous disclosure and filings

- Track filing deadlines across the client portfolio
- File on SEDAR+ (interim and annual financial statements, MD&A;, certificates, news releases, material change reports, meeting materials, change of auditor, profile updates) and SEDI (issuer events, insider reports)
- Prepare approval packages for quarterly and annual financial statements: board and audit committee resolutions and CEO/CFO certificates, circulated through DocuSign
- Draft and coordinate news releases, arrange newswire dissemination and file with the exchange
- File CSE monthly reports and forms, and TSXV filings through LINX
- Run shareholder meetings with the transfer agent and counsel: meeting and record dates, information circular, proxy and mail-out, chair's script, venue and attendance

Financings, equity and transactions

- Private placements: subscription review, closing documents, exchange filings, exempt distribution reports across jurisdictions, and register and cap table updates
- Stock option, RSU and warrant grants,

exercises and amendments; option agreements; treasury directions and DRS statements with transfer agents
- Debt settlements, share consolidations and splits, name changes and asset acquisitions
- Support larger transactions alongside legal counsel: qualifying transactions and RTOs, amalgamations, new listings and OTCQB cross-listings, trading halts and reinstatements; respond to exchange and regulator information requests
- Prepare closing agendas and closing books

What you bring

- 3+ years as a corporate/securities paralegal, with hands-on public company experience (CSE and/or TSXV)
- A paralegal certificate or diploma, or equivalent experience
- Working knowledge of the BC Business Corporations Act, NI 51-102, NI 45-106, NI 52-109, SEDI reporting, and CSE and TSXV policies
- Comfort with SEDAR+, SEDI, BC Registry, the CSE filing portal, TSXV LINX, DocuSign and Microsoft 365
- Ability to manage many clients and deadlines at once, and to respond to clients promptly
- Precise drafting and attention to detail: you catch the date that doesn't match the register
- Nice to have: OTC Markets applications, U.S. state corporate filings

We are interested in highly motivated team players who have the ability to work independently in a fast-paced and dynamic team-oriented environment. Ideally, the candidate has the ability to recognize and utilize their individual strengths to influence and improve the effectiveness of the team.

Pay: $75,000.00-$95,000.00 per year

Benefits:

- Flexible schedule
- Work from home

Work Location: Hybrid remote in Vancouver, BC V6C 1T2
