Advise Aecon in Toronto on corporate transactions and securities matters, applying practical judgment across complex legal and commercial work.

Reporting to the Director, Corporate Legal, this Legal Counsel role supports Aecon’s business on corporate and securities matters. You will advise on M&A;, financings, governance, securities compliance, commercial transactions, and strategic investments. The work involves internal stakeholders, external counsel, and other advisors.

Key Responsibilities:

- Advise on M&A;, divestitures, investments, and corporate transactions
- Draft, review, and negotiate transaction documents
- Prepare resolutions, organizational documents, disclosures, and regulatory filings
- Support securities offerings, financings,



and capital markets transactions
- Manage outside counsel and update corporate policies

Requirements:

- Member in valuable standing with Ontario’s Law Society
- Two to four years of post-call legal experience
- Corporate or securities experience at a major law firm
- In-house experience at a Canadian public company
- Domestic and cross-border M&A; experience is an asset
