Reporting to the Director,



Corporate Legal, the successful candidate will provide timely, practical advice on corporate and securities matters throughout the business, including M&A;, financings, corporate governance, securities compliance, commercial transactions and strategic investments and will work collaboratively with internal stakeholders, external counsel and other advisors.
Advise on mergers, acquisitions, divestitures, strategic investments and other corporate transactions and draft, review and negotiate transaction documents
Prepare and review corporate resolutions, organizational documents, disclosure materials and regulatory filings
Advise on securities laws and regulatory requirements applicable to Aecon and support Aecon’s public Board of Directors, including preparation of Board materials
Support public and/or private securities offerings, financings and capital markets transactions
Assist with the development, implementation and updating of Aecon’s corporate policies and procedures
Member in valuable standing with the Law Society in Ontario
Post-call legal experience: 2-4 years as a corporate and/or securities counsel at a major law firm or as in-house counsel at a Canadian public company
Transactional experience including domestic and cross-border M&A; is a strong asset

Provide clear, practical advice that appropriately balances legal risk and operational objectives.
Translate complex legal issues into actionable recommendations for stakeholders.
Exercise sound judgment in sensitive, high-risk, and time-critical matters.
Build credibility with functional groups, including corporate finance, tax, procurement, information services and human resources.
Communicate legal risk clearly and concisely, both verbally and in writing.
Manage multiple priorities, projects and advisory matters with attention to detail while meeting timelines.
