As anAssistantGeneral Counsel,Commercial Transactions you will be focused on energy and infrastructure project development and specific commercial transactions related thereto. You willprovideprofessional legal advice, counsel, and guidance to support the development, construction,financeand management of Invenergy’s growing renewable and clean energy portfolio. Provide legal support to Invenergy’s project development, commercial execution and finance and capital markets teams on a wide variety of commercial transactions, including power purchase and similar offtake agreements,build-transfer agreements,commodity and currency hedge and trading agreements, interconnection agreements, EPC agreements, equipment supply agreements, operations and maintenance agreements as well as debt financing,



cash and tax equity financing,and joint ventureagreements. Support the drafting and negotiation of project and financing documentation. Ensure consistency across transactions and compliance with internal policies. The position will also provide legal advice and support in other areas of the company as needed and able. The position will require overtime and travel at times. 5-7+years of experience either within a law firm or as in-house counsel supporting utility scale energy project development,financeand M&A; transactions. Experience drafting, negotiating, and advising on sophisticated energy related project development,financeand M&A; documentation Proven ability as a legal lead to drive transactions to successful completion. Able to work cross-functionally with internal and external stakeholders under minimal supervision Able to work under minimal supervision Bonus: 25%
