About the opportunity
Why this role matters
Every year, Recycle BC collects over 200,000 tonnes of household packaging and paper from more than two million households, over 99% of British Columbia. SK Recycles brings the same kind of program to Saskatchewan. Keeping both running well takes a Board that makes sound decisions, a clear view of the risks, and solid agreements with the service providers who do the work on the ground.

This role brings those three together. As Director, you will serve as Board Secretary, lead risk management, and oversee procurement and contracts for both programs. You will be the key link between the Board and management, and a trusted partner to leaders across finance, operations and strategy.

The foundation is in place. Your opportunity is to make it work consistently across the organization, with a mission-driven team and a clear public purpose behind everything you do.

What you will do:
Three connected responsibilities, in one role at the centre of how Recycle BC and SK Recycles are governed, protected and run.

Board Secretary: the link between the Board and management
You will help the Board operate within its legal, regulatory and ethical obligations, and keep communication between the Board and management clear

Prepare and finalize agendas and meeting materials for the Board and its committees, in line with the annual governance calendar.

Capture accurate minutes of key discussions, motions and decisions, get them out on time, and track action items so nothing slips between meetings.

Maintain the official records of Board proceedings and governance documents, and keep the Board in compliance with its bylaws and legal requirements.

Draft or coordinate briefing notes, decision papers and supporting documents with management and committees.

Work with the Board Chair, committee chairs, senior management and external advisors to keep governance running smoothly.

Manage secure distribution of Board materials through the approved Board portal and oversee version control.

Support director and officer appointments, committee structures and other governance processes.

Risk management: a living practice

Develop and carry out the annual risk work plans with department leaders, track progress and report regularly on mitigation work.

Lead the identification and assessment of key risks across departments, including strategic, financial, operational and reputational risks.

Maintain and regularly update the risk register and risk matrix.

Work with internal teams to put the right risk controls and mitigation strategies in place.

Prepare risk materials for senior leadership and governance bodies.

Help make risk management a regular practice across the organization, not a framework that sits unused in a shared folder.

Procurement and contracts: strong agreements, strong partnerships

Lead and refine the procurement process and its documents, in line with the procurement policy,

working with the teams and departments procuring services. Support RFPs.

Draft, edit and review contracts and amendments, including Statements of Work, Master Service Agreements, Memoranda of Understanding and other agreements, and help move them through internal review and on to signature.

Make sure contracts comply with internal policies and relevant laws and regulations.

Work with internal stakeholders to define procurement and contract requirements and deliverables.

Support negotiations by spotting and addressing key contractual risks and issues.

Work with outside legal counsel so every procurement and contract document has legal review.

Keep contract files organized and current, and support the rollout and ongoing use of contract lifecycle management software, working with Circular Materials on storage, version and revision control of contracts and on contract management software

Working across the organization

Act as the liaison between finance and administration, operations and other teams on risk and contract matters.

Support internal audits and external reviews related to risk and compliance.

Coach and train staff on contract procedures and risk awareness.

Keep improving risk management, procurement and contract processes.

Other duties as assigned.

Who you will work with:
You will work closely with the Board Chair, Executive Director, VP Operations, VP Finance and Organizational Services, VP Material Regeneration and Business Development, Director Strategic Initiatives, Director Collection, the Directors of Post-Collection, and the Manager, Programs Administration. You will also build strong relationships with the Circular Materials team, especially Procurement and Vendor Management. Outside the organization, you will work with third-party service providers, contractors and consultants, and outside legal counsel.

Who you are:
You might come from governance, risk, legal or contract administration, procurement, operations or a related background. Whatever your starting point, you bring 10+ years of experience and the judgment to spot issues, ask good questions and bring in the right expertise.

What you bring:

A bachelor's degree in Business Administration, Risk Management, Legal Studies or a related field. Equivalent experience will be considered.

10+ years of relevant experience in risk management, contract administration, governance or related areas.

Strong knowledge of governance and experience working with boards, in particular not-for-profit boards.

Strong knowledge of risk management frameworks and best practices.

Experience drafting procurement documents, with knowledge of best practices.

Experience drafting and reviewing legal and contractual documents,

with familiarity with legal terminology and contract negotiation.

Experience in a not-for-profit or mission-driven organization.

Excellent analytical, organizational, verbal and written communication skills, including the ability to explain risk and contract issues clearly.

The ability to manage multiple priorities and work collaboratively across departments, without a large team reporting to you.

Proficiency in Microsoft Office and in risk and contract management tools.

Comfort and effectiveness in an environment that changes often.

A valid driver's license.
Nice to have: a risk management certification (for example, CRM) or a paralegal certification.

Start date: December 1 would be welcome, and early January is also realistic.

Compensation and benefits:

Base salary of $135,000 to $150,000, with the possibility to exceed this based on experience.

Annual bonus.

A very strong benefits package.

Generous PTO package.

About Recycle BC and SK Recycles
Recycle BC is a not-for-profit responsible for residential packaging and paper product recycling across British Columbia. Through curbside, multi-family and depot services, it reaches over two million households, over 99% of the province. Over 195 communities take part, and over 200,000 tonnes of material are collected from households and depots every year. Recycle BC works directly with communities and in partnership with local governments, First Nations, private companies and other not-for-profit organizations. The program is funded by the manufacturers, brand owners and retailers that supply packaging and paper products to BC residents.

SK Recycles is Saskatchewan's provincial recycling program for household packaging and paper. It works with producers, local governments, First Nations, Métis communities, private companies, other organizations and residents to manage a province-wide system, funded by producers. It grew out of Multi-Material Stewardship Western, which launched its recycling program in Saskatchewan in January 2016.

Why this could be your next move
You have spent years building your expertise in governance, risk or contracts, and a reputation for sound judgment. This role puts that experience to work across three connected functions, in an organization with a clear public purpose. You will be the link between the Board and management, shape how risk and contracts are handled across two provincial programs, and work directly with the Board Chair and senior leaders.

For an experienced professional who wants broader scope, more influence and the chance to make governance and risk work consistently across an organization, this is a conversation worth having.
