Title: Legal Counsel - M&A; Location: Greater Toronto Area, Ontario Contract: 6 months, with potential to become permanent The Opportunity A leading industrial technology and manufacturing organisation is looking for an experienced Legal Counsel to join its team on an initial 6-month contract, with the potential to transition into a permanent position. This is a hands‑on opportunity to support an active M&A; transaction, working closely with senior internal stakeholders, external legal counsel and other advisors.

Key Responsibilities - Provide legal support throughout an active M&A; transaction - Draft, review and negotiate M&A; agreements and related commercial contracts - Support legal due diligence and identify key legal and commercial risks - Review and negotiate transaction documentation - Work closely with senior business and finance stakeholders - Liaise with external legal counsel and transaction advisors* Provide practical,



commercially focused legal advice throughout the transaction - Support the business through the negotiation and execution of transaction documentation - Assist with broader corporate and commercial legal matters where required Experience Required - Bachelor of Law degree - Qualified lawyer with eligibility to practise in Ontario - 4+ years of relevant legal experience - Robust experience in M&A; and transactional contracts - Proven experience supporting M&A; transactions and legal due diligence - Strong contract drafting and negotiation skills - Commercially minded, with the ability to provide practical business-focused legal advice - Comfortable working with senior stakeholders and external advisors - * Able to work effectively in a fast-paced, transaction-focused environment This is an opportunity to join an established international organisation and play a hands‑on role in an active M&A; transaction.
