Legal Counsel Procurement & Contract Governance at VIA Rail Canada

VIA Rail Canada is seeking a mid-senior level Legal Counsel to join its Legal Services team in Montreal, Quebec. The role focuses on the negotiation, approval, and management of complex commercial contracts, including procurement, infrastructure, IT, and construction agreements, while ensuring compliance with internal governance rules and applicable trade agreements.

Key Eligibility Criteria

- Legal Qualification: Member in good standing of the Barreau du Québec for a minimum of seven (7) years.
- Experience: Relevant experience with commercial contracts and complex negotiations.
- Languages: Excellent command of English and French, both spoken and written.
- Technical Skills: Experience with various databases and technological tools; knowledge of the Oracle system is an asset.

Responsibilities & Scope of Work

- Contract Approval: Review, negotiate, and approve contracts for purchase of goods/services, IT, infrastructure access, construction, marketing, confidentiality, and leases.
- Advisory: Advise business units on contract matters, identify issues, resolve disputes, and suggest solutions based on legal and commercial risk assessment.
- External Counsel Management: Manage services and budgets for external legal counsel when required.
- Contract Governance: Ensure contracts comply with internal rules (authority matrix, awarding rules) and applicable commercial trade agreements.
- System Management: Manage implementation of changes to the contract management system, development cycle, and templates.
