About the Role

Our client is looking for an experienced Associate General Counsel to strengthen their legal department in Kimberley , with a particular focus on Corporate Governance . This senior role involves providing strategic legal advice on all matters related to corporate governance, compliance, and board support. You will ensure the company adheres to best practices and regulatory requirements, safeguarding its reputation and operational integrity. This is a significant prospect for a seasoned legal professional to influence corporate strategy and decision-making within a well-established organization, operating under a hybrid work model.

Key Responsibilities

- Advise the Board of Directors and executive management on corporate governance matters, fiduciary duties, and compliance obligations.
- Ensure adherence to corporate law, securities regulations, and listing requirements.
- Manage board meetings, prepare minutes, and maintain corporate records.
- Develop and implement corporate governance policies and procedures.
- Oversee compliance with regulatory filings and reporting obligations.




- Provide legal support for shareholder communications and meetings.
- Assist with legal aspects of capital markets transactions and corporate restructurings.

Requirements

- Admitted Attorney with a minimum of 7 years of experience, with a strong emphasis on corporate law and governance.
- In-depth knowledge of South African corporate law, King IV principles, and securities regulations.
- Experience advising boards of directors and senior management.
- Strong understanding of compliance frameworks and risk management.
- Exceptional analytical, drafting, and communication skills.
- Ability to manage complex projects and provide strategic legal counsel.
