Corporate Paralegal (Reorganizations) — Fully Remote

We are currently seeking an experienced Corporate Paralegal to join a well-established law firm in a fully remote position. This is an excellent prospect for a seasoned corporate paralegal with strong experience in corporate reorganizations who is comfortable independently managing files from beginning to end.

Working closely with lawyers and accountants, you will review and analyze instructions from accountants and take responsibility for preparing the agreements, resolutions, filings, and supporting corporate documentation required to complete each stage of a reorganization.

Responsibilities

In this role, you will:

- Independently manage corporate reorganization files from beginning to end
- Review and analyze reorganization instructions received from accountants
- Prepare agreements, resolutions, and supporting corporate documentation in ALF
- Create family trusts and prepare related documentation
- Prepare documentation for stock dividends
- Complete Section 51, 85 and 86 share exchanges
- Handle Section 85 rollovers of assets or shares
- Prepare share subscription documentation
- Complete long-form and short-form amalgamations
- Handle corporate wind-ups and dissolutions
- Prepare documentation relating to the redemption of shares
- Complete share transfers
- Prepare documentation for the distribution of shares from family trusts to beneficiaries
- Prepare documentation relating to the set-off and/or assumption of promissory notes
- Assist with farm succession plans, including conveyancing-related aspects where appropriate




- Update LOTR filings affected throughout the various stages of a corporate reorganization
- Update transparency registers in ALF
- Ensure corporate records and supporting documentation remain accurate and up to date throughout each transaction

Qualifications

The ideal candidate will have:

- Strong experience as a Corporate Paralegal, with hands-on experience in corporate reorganizations
- Demonstrated ability to independently run corporate reorganization files from beginning to end
- Experience reviewing, interpreting, and working from instructions provided by accountants
- Strong knowledge of corporate reorganizations, share transactions, rollovers, amalgamations, trusts, and related corporate procedures
- Experience preparing corporate agreements, resolutions, and supporting documentation
- Experience working with ALF
- Excellent organizational and time-management skills
- Strong attention to detail and accuracy
- The ability to manage multiple files, transactions, priorities, and deadlines independently
- Excellent written and verbal communication skills
