The Legal Counsel– Commercial and Employment is a member of The Fertility Partners’ Legal team and reports to the Chief Legal Officer. The role provides practical, business-focused legal advice across TFP’s fertility network, with primary responsibility for commercial contracting and employment law support.

The Legal Counsel will independently manage a broad portfolio of commercial matters, including physician services agreements, supplier and service agreements, technology agreements, equipment arrangements, real property leases, and other operating agreements. The role will work closely with clinic and functional leaders to understand business objectives, identify legal and commercial risks, and develop practical solutions that allow the organization to move forward.

The Legal

Counsel will also provide legal support to Human Resources on employment matters, including employment agreements, terminations and other workplace matters.

KEY RESPONSIBILITIES

Commercial Contracts and Legal Advice

- Draft, review, and negotiate a broad range of commercial agreements, including supplier and service agreements, technology and SaaS agreements, physician services agreements, equipment purchase, lease and financing agreements, physician agreements, inter-company agreements, consulting agreements, confidentiality agreements and other operating contracts.
- Review and negotiate real property leases, amendments, renewals, and related agreements.
- Provide practical legal advice to TFP leaders on contractual rights and obligations, commercial arrangements and other day-to-day business matters.
- Identify legal and commercial risks, assess their significance, and recommend practical approaches to mitigate or manage those risks.
- Oversee the resolution of contractual disputes and other commercial issues.
- Provide legal support for new business arrangements, partnerships, service offerings,



and other strategic initiatives.
- Identify matters requiring broader legal consideration and escalate material or unusual risks to the Chief Legal Officer.

Employment Law Support

- Develop and maintain standardized employment agreements, offer letters, separation agreements, templates and other employment-related legal tools to support consistent execution by Human Resources.
- Provide legal input into employment policies, processes and frameworks, with a focus on establishing clear parameters that enable Human Resources to manage routine employment matters independently.
- Advise Human Resources on unique, complex, or higher-risk employment matters that fall outside established policies, templates or processes.
- Provide legal oversight and direction for workplace investigations, including advising on scope and process, determining when external investigators or counsel should be engaged, and advising on findings and appropriate next steps.
- Develop or revise employment policies and legal guidance where recurring issues indicate that a clearer framework would enable more consistent and effective execution by Human Resources.
- Support employment-related claims and disputes and manage external employment counsel where specialized advice or representation is required.
- Provide legal oversight and guidance to Human Resources in the administration of existing collective agreements, including interpretation of collective agreement provisions and advice on grievances or other labour relations issues,



engaging specialized external labour counsel where appropriate.

EXPERIENCE AND QUALIFICATIONS

- Law degree (LL.B. or J.D.) and membership in good standing with the Law Society of Ontario or another Canadian provincial or territorial law society.
- Approximately 3–5 years of post-call legal experience gained in a law firm, in-house legal department or combination of the two.
- Strong experience drafting, reviewing and negotiating commercial agreements.
- Experience advising business clients on contractual and commercial matters.
- Experience with physician or other regulated health services arrangements is an asset.
- Experience working in a multi-site or multi-jurisdictional organization is an asset.
- French language skills are an asset.

SKILLS AND ATTRIBUTES

- Strong commercial judgment and the ability to distinguish material legal risk from issues that can be managed through practical business solutions.
- Excellent drafting and negotiation skills.
- Ability to understand the business objective behind a request and provide legal advice that helps achieve that objective while appropriately managing risk.
- Strong organizational skills and the ability to independently manage multiple matters, competing priorities and deadlines.
- Sound judgment regarding when to resolve matters independently, when to engage specialized external counsel and when to escalate significant risks or decisions.
- Comfortable working across multiple provincial jurisdictions.
- Solid interpersonal skills and an ability to build effective working relationships with physicians, clinic leaders, executives and functional teams.
- Collaborative approach and willingness to work closely with other members of the Legal team.
- Commitment to developing efficient legal processes and continuously improving how legal services are delivered to the business.
