The Legal Counsel, DPSA, reports to the Legal Counsel, Manager and is responsible for providing legal advice and services to all sectors for commercial export operations and international contracting with a primary focus on CCC’s Defense Production and Sharing Agreement (DPSA) business line, supporting contracts with the U.S. Department of War.

What you’ll be doing

Provides legal advice on discreet issues or complex issues including but not limited to solicitation notices, commercial contracts, service agreements, memoranda of understanding (MOU) and related issues; outlines legal implications and addresses risk mitigation; and makes recommendations on standards and novel contract clauses, conditions, and amendments for various business lines

Provides legal services to DPSA business line, supporting internal contract reviews and contract risk assessments; negotiating amendments and approvals within sensitive timelines

Participates in external stakeholder meetings; reviews, interprets,



and negotiates contracts between exporter and buyer, and mitigates risk and liability for CCC

Conducts legal research on national and international instruments, including international conventions, jurisprudence, opinions, and precedents, as well as relevant U.S. procurement-related statutes and regulations, to provide advice to the business and to identify trends

Collaborates with internal stakeholders, identifies and assesses corporate and transactional risk, considers new and emerging jurisprudence and corporate practices, and develops risk mitigation strategies to support client needs and objectives

Participates on committees and working groups as subject matter expert; provides legal advice to ensure alignment and consistency in program and service delivery; and provides input on policies, procedures, guidelines, and practice updates and development

Consults and develops relationships with key Government of Canada stakeholders at and other Crown Corporation and departments for evolving areas of concern to CCC

Facilitates knowledge-sharing, and continuous professional development and prepares and delivers briefings and presentations on various legal topics to internal colleagues

Attend events, receptions, and conferences and interact with external stakeholders, clients and suppliers for business facilitation and relationship building

Provides mentoring, coaching, and support to assigned summer students

What you’ll bring to CCC

Bachelor of Laws (LLB), Juris Doctor (JD), or equivalent law degree is required.



Licensed to practice law in Ontario and must be a member of good standing in a Canadian provincial or territorial law society

Demonstrates professionalism by adhering to the rules of skilled conduct adopted by the relevant law society

Experience gained from extensive specialized legal practice, demonstrating proficiency essential for managing CCC's complex and high-stakes assignments

Minimum of three years of experience in commercial law and contracting experience

Knowledge of legal administration, practices, processes, policies, and procedures

Knowledge of issues, trends, best practices, and challenges related to contract law, commercial law, public procurement and administrative law, commercial export operations, and domestic and international contracting

Knowledge of office productivity software and databases, discipline-specific software, enterprise software, AI tools and associated technology devices

Knowledge of relevant governing legislation, regulations, and guidelines

Develops knowledge of relevant economic, industry, political, legal, cultural, and social contexts of partners and stakeholders

Develops knowledge of CCC Policy Suite and related procedures and instructions
