B&W; Canada is currently seeking a motivated individual to fill the role of Legal Counsel. This role comes with training and mentorship. You will become part of a team of 3 locally and 7 between Canada and the U.S.

Job Description Summary
Legal Counsel provides services to all business units and B&W; entities. The primary emphasis of this role includes commercial and contract review, as well as overall proposal and contract support services, both domestic and international. You will review all types of contract documents including NDAs, teaming agreements, customer terms, vendor terms, change orders and settlement agreements, as well as support dispute resolution, where necessary. All this is supported by Senior Counsel.
Specific Duties Include
· Prepare legal documents (i.e. contracts, LNTPs, non-disclosure agreements, letters)
· Review requests for proposals, proposals, contract bid documents and contract terms and conditions, providing clarifications and exceptions.
· Assist or participate in negotiations of contracts and settlement agreements.
· Prepare review documents and approval documents for contract risks.
· Engage outside legal counsel when necessary.
· Oversee the process of filing, handling and discharging construction liens
· Apprise management of relevant changes to the law and the enactment of new laws and regulations.
· Research and analyze statutes, regulations and case law and, if necessary, discuss with outside legal specialists.
· Ensure management is aware of and is properly implementing corporate administrative policies and procedures.
· Conduct training sessions to ensure understanding and reinforce compliance with policies, ethics and legal requirements.
· Manage legal disputes in a manner most beneficial to the Company. Participate in settlement negotiations.
· Provide assistance in resolving disputes and recommend settlement positions.
· Take the lead in litigation management and co-ordination with outside legal counsel.
Education and/or Relevant Experience
A Bachelor of Laws. Would prefer 5-7 years of experience which includes domestic and international contract experience, and/or other related or transferrable experience.

Pay: $85,000.00-$125,000.00 per year
