Title: Senior Law Clerk (Corporate Governance & Securities)

Location: Toronto (Hybrid: 3 days in-office)

Duration: Contract (ASAP to May 31, 2027 with potential for extension/conversion)

Compensation: T4: $65/hr-$68/hr | IC: $75/hr-$78/hr

Are you an experienced securities and corporate governance law clerk looking to make an impact in the financial sector? We are seeking a Senior Law Clerk to join a team-oriented Enterprise Board Governance team at a major financial institution in downtown Toronto!

In this role, you will partner directly with legal counsel to support board operations, regulatory filings, and corporate secretarial initiatives.

Key Responsibilities:

- Prepare and submit regulatory filings, proxy circulars, and insider reports (SEDI).
- Assist with board and committee meeting coordination,



governance documentation, and records management.
- Support director compensation administration and shareholder services.
- Monitor corporate compliance, manage audit inquiries, and execute special governance projects.

What You Bring:

- 5 years of law clerk, paralegal, or legal experience supporting a public company.
- Mandatory background in Banking or Financial Services (FI).
- Registered Law Clerk (ILCO) or Certified Paralegal/Lawyer (LSO).
- Expertise in securities law, public disclosures, and regulatory compliance.
