Senior Legal Counsel, Commercial & SCM Law Trans Mountain Corporation operates Canada’s only pipeline system transporting oil products to the West Coast. We deliver approximately 890,000 barrels of petroleum products each day through a dual pipeline system of more than 1,150 kilometres of pipeline in Alberta, British Columbia and Washington state.

Mountain also operates a state-of-the-art loading facility, Westridge Marine Terminal, with three berths providing tidewater access to global markets. As a federal Crown corporation, Trans Mountain continues to build on more than 70 years of experience delivering operational and safety excellence through our crude oil pipeline system. With our expanded pipeline system now in place, Trans Mountain provides enhanced direct access for Canadian crude oil to world markets.

Location: Calgary Head Office Reports to: Director, Commercial Law Schedule Type: Full-time In-office Trans Mountain is seeking a collaborative, motivated, and values driven individual to join our dynamic team as Senior Legal Counsel, Commercial and Supply Chain Management. In this position, you will provide strategic, practical, and risk-based advice on commercial, operational, procurement, and supply chain matters. You will help lead transactions, advise senior and executive leaders, build trusted business partnerships, and strengthen legal capability and contracting governance, escalating matters as appropriate.
Provide legal guidance on commercial matters, including projects, operations, technology, licensing, confidentiality, and procurement matters. Lead the structuring, drafting, review, negotiation, and execution of agreements, including strategic commercial arrangements, master services agreements,
purchase and supply agreements, skilled services agreements, construction-related agreements, technology agreements, licenses, and non-disclosure agreements. Develop transaction and negotiation strategies, help establish appropriate legal positions, and advise senior and executive leaders on non-standard terms, risk allocation, contractual remedies, and proposed departures from approved standards.
Identify, assess, and communicate legal, contractual, commercial, regulatory, and reputational risks, and recommend mitigation strategies that protect Trans Mountain’s interests while supporting business objectives. Provide sustained legal guidance across the contract and transaction lifecycle, advising on planning, due diligence, approvals, interpretation, amendments, claims and disputes, renewals, terminations, and lessons learned to preserve organizational knowledge and protect long-term business interests. Serve as a trusted senior legal advisor to business units and Supply Chain Management, building effective relationships and aligning contract terms, transaction structures, and legal advice with commercial objectives, operational requirements, organizational values, and accountabilities.
Advise on compliance with applicable laws, regulatory requirements, company policies, legal standards, and contracting governance requirements, escalating matters as appropriate. Contribute to Commercial Law priorities and strengthen organizational legal capability through mentoring, knowledge sharing, practical guidance, contracting standards, governance improvements, and effective oversight of external legal counsel. Bachelor of Law, or equivalent law degree from a recognized institution. ~ Active member in good standing of the Law Society of Alberta, or eligible for membership. ~10 or more years of progressively responsible legal experience, with significant experience in commercial law, complex contracting,
business transactions, procurement, projects, operations, infrastructure, energy, construction, or a related industry. ~ Demonstrated experience independently structuring, drafting, and negotiating complex, material, and higher-risk commercial transactions and agreements. ~ Previous in-house legal experience within a large, regulated, infrastructure, energy, or operational organization is preferred. ~ Advanced expertise in commercial and contract law and legal issues affecting projects, operations, technology, procurement, and supply chain activities. ~ Advanced capability in transaction structuring, legal drafting, contract interpretation, and negotiation. ~ Strong commercial judgment, with the ability to assess material risk, balance legal and business priorities, recommend practical mitigation, and accelerate appropriately. ~ Credible and influential advisor with strong stakeholder management, relationship-building, and communication skills across legal and non-legal audiences. ~ Ability to independently manage complex, sensitive, and time-critical matters, coordinate multi-disciplinary input, and deliver high-quality advice within competing priorities. ~ Strong analytical, organizational, and attention-to-detail capabilities, supported by a collaborative, pragmatic, and continuous‑improvement mindset and familiarity with contract lifecycle and document management systems. ~ Willingness and ability to travel as required.
