Business & Operating Model

Real Matters uses technology to coordinate high-volume, geographically distributed services that are required during mortgage origination, property valuation, title insurance, closing, and property-insurance processes. Transaction workflows are coordinated through an asset-light model designed to maximize operating leverage as transaction volumes scale.

- Solidifi (U.S. & Canada): Powers residential appraisal services, title searches, escrow/closing management, and title policy issuance across purchase, refinance, and default channels
- iv3 (Canada): Delivers loss-control insurance inspection services for property and casualty insurers

The Opportunity

Reporting to the Chief Executive Officer, the Chief Financial Officer (“CFO”) leads the global finance function of Real Matters while serving as a key strategic, commercial, and operational peer to the executive leadership team.

The CFO is responsible for shaping the future state of Real Matters by driving organic and inorganic growth, executing capital allocation strategies, reducing the company’s dependence on the mortgage cycle, and improving operating leverage and profitability.

With a strong Finance function already in place, the next CFO will be expected to spend significant time helping shape enterprise strategy, capital deployment, and operational performance, while supporting the company’s next phase of growth.

The CFO also acts as a key external representative of the organization, communicating a credible strategy to the Board of Directors, the Audit Committee, public market investors, and the broader financial community.

The appointment comes at an important inflection point. With mortgage transaction volumes at historically depressed levels, a robust balance sheet, and opportunities for industry consolidation, Real Matters has an opportunity to use the current cycle to reshape its growth profile. The next CFO will play a central role in determining how the company deploys capital, pursues inorganic growth and builds a more diversified earnings base ahead of the next housing-market upcycle.

Key Responsibilities

Strategic Leadership & M&A;

- Evaluate, structure, challenge, and help execute strategic M&A; opportunities, including potential transformational transactions, to build a more diversified earnings base.
- Drive the long-term capital allocation strategy, determining optimal deployment of capital across organic initiatives, inorganic growth, and shareholder returns.
- Partner with the CEO, COO, and CTO as an enterprise-wide advisor to translate financial insights into commercial decisions and evaluate strategic growth ideas.
- Develop credibility with key industry stakeholders and customers, bringing an informed perspective on U.S. housing and mortgage-market developments into enterprise strategy.

Capital Markets & External Communication

- Articulate the company's growth strategy, housing market dynamics, and underlying economics to public equity investors, analysts, and the Board.
- Preserve public-company reporting standards, ensuring complete transparency, preparation, and direct engagement with external stakeholders without surprises.
- Build trusted, direct relationships with the Board and Audit Committee, bringing independent judgment, transparency and the confidence to constructively challenge management and directors where appropriate

Operational Finance & Cyclical Leadership

- Partner closely with Operations to optimize efficiency, navigate unit-level economics, and maximize operating leverage through changing volume environments.
- Manage capacity, cost structures,



and operational scaling through interest rate and mortgage volume cycles while preserving organizational culture and core capabilities.
- Maintain oversight of compliance, technical accounting controls, financial reporting, tax, and SOC reporting requirements across U.S. and Canadian jurisdictions.

Team Leadership & Governance

- Inherit and lead a highly capable Finance organization with established strength across FP&A;, data and business analytics, controllership, reporting and tax, while developing the team and succession pipeline for the company’s next stage.
- Develop a multi-year Finance workforce and succession plan, with a specific focus on preparing for the Corporate Controller’s planned retirement over the next 2–3 years.
- Maintain strong financial controls, governance, compliance and reporting disciplines appropriate to a regulated public company operating across Canada and the U.S.

The Individual

The Chief Financial Officer (“CFO”) is a seasoned executive with over 15 years of progressive financial and strategic leadership experience within the public domain and the U.S./Canadian mortgage or housing ecosystem.

The CFO adopts a continuously agile and commercial approach and excels in capital allocation, M&A; execution, operational scale management, and public market engagement.

The successful candidate will bring sufficient industry credibility to contribute immediately to strategic discussions with a highly experienced leadership team and external stakeholders.

Key Qualifications

Technical Skills and Experience

- Relevant Industry Expertise: Meaningful experience within the mortgage, housing or closely related real estate services ecosystem, with a strong understanding of mortgage economics, interest-rate cycles and housing-market dynamics. Significant exposure to the U.S. mortgage and housing market is strongly preferred given the company’s customer base and operating footprint
- Public Company Experience : Meaningful experience operating at a senior level within a publicly traded organization is required. This experience need not have been as CFO or in the candidate’s current role; prior VP/SVP-level public-company experience may provide the requisite exposure
- Prior CFO Experience: Previous experience serving in a CFO capacity is required; candidates do not need to be currently occupying the CFO seat
- Corporate Development & M&A;: Proven track record evaluating, structuring, and integrating corporate transactions to achieve growth and portfolio diversification.
- Operational Scale & Financial Oversight : Demonstrated experience managing operating leverage, unit economics, and capacity scaling in a highly cyclical, tech-driven operating model.

Education

- Post-secondary degree in Finance, Accounting, Economics, Business Administration, or a related field; MBA is considered an asset.
- Certified Public Accountant (CPA) designation is required.
