AMCTO Representative Appointment to the OMERS Board of Directors (Non-Voting)
AMCTO invites expressions of interest from qualified individuals who wish to be considered for appointment as AMCTO’s representative to the OMERS Board of Directors (Non-Voting). This opportunity calls for an experienced municipal professional who can bring sound governance, strategic insight, and a broad public-sector perspective to the stewardship of one of Canada’s largest defined benefit pension plans.
About the Appointment
As part of the Provincial Fall Economic Statement in November of 2025, the Government of Ontario introduced legislation that proposed a series of changes to the manner in which OMERS is governed. As part of these changes, and subsequent regulatory updates, AMCTO has been provided the opportunity to appoint one individual to serve as a non-voting member of the OMERS Sponsors Council. The successful candidate will serve in accordance with the fiduciary, statutory, and governance obligations applicable to an OMERS director. While bringing an informed municipal perspective and maintaining a solid connection to AMCTO and its membership, the appointee must exercise independent judgment and act in the best interests of OMERS and its members.
Candidate Profile
As outlined in draft regulation 26-MMAH058* to the Ontario Municipal Employees Retirement Act, 2026, AMCTO is seeking candidates who demonstrate:
- Independence, integrity, sound judgment.
- Long-term, strategic outlook with a stewardship mindset.
- Governance knowledge and experience at a complex organization.
- Knowledge of business issues and financial matters.
- Demonstrated ability to operate effectively and collaboratively as part of a diverse team.
- Commitment to fiduciary responsibilities and ongoing education.
- Support for defined benefit and jointly sponsored pension plans.
- Willingness to attend and contribute to board and committee meetings and to devote the time and effort necessary to be an effective member.
In addition, nominees must have at least 10 years of experience in one of the following positions:
- C-suite or equivalent executive positions in complex organizations including a large municipal sector organization; or
- Senior leadership roles in unions or similar organizations involving multiple employers and employee groups.

Qualifications
Competency Requirements
Each nominee must possess expertise in at least two competency areas, one of which must fill a gap identified by the AC, if any. Competency categories:
1. Pension administration, including experience in,
i.-leading a pension plan or trustee administration program, or ii.-developing or advising on pension policy, regulation or design of defined benefit pension plan.
1. Pension funding background, including,
i.
actuarial accreditation or equivalent experience with complex retirement or insurance systems, or ii. expertise in developing or advising on sustainability of defined benefit pension plans or equivalent.
1. Regulatory Affairs, including,
i. experience as a regulator or as a senior leader in a complex regulated organization, or ii. expertise, or a recognized designation or accreditation, in a regulatory field
1. Public market investing, including experience in,
i. leading a portfolio of global public markets, including equities, fixed income or derivatives, or ii. developing or designing a sophisticated capital markets investment strategy or leading an investment banking business.
1. Private market investing, including,
i. experience in leading a private market investment program in areas such as infrastructure, private equity, structured credit or real estate, or ii. expertise in global investment dynamics in areas such as law, tax or finance.
1. Financial and operational controls, including,
i. leading or advising on internal control, reporting or valuation systems in a complex organization in accordance with financial accounting standards, or ii. possessing an advanced accounting or finance designation (e.g., Chartered Professional Accountant [CPA] or Chartered Financial Analyst [CFA]) or possesses all of the following attributes: A. An understanding of financial statements and generally accepted accounting principles (GAAP).
B. An ability to assess the general application of GAAP in connection with accounting for estimates, accruals and reserves.
C. Experience preparing, auditing, analyzing or evaluating financial statements that present a breadth and level of complexity of accounting issues generally comparable to what can reasonably be expected to be raised by a company's financial statements, or experience actively supervising those engaged in such activities.
D. An understanding of internal control over financial reporting.
E. An understanding of an audit committee's functions.
1. Risk management, including experience in,
i. leading, designing or advising on an advanced risk management program, or ii. managing overall risk and return dynamics in a complex investment or pension environment.
1. Talent acquisition and retention, including experience in,
i. leading a talent program in a complex organization, or ii. designing and leading a complex executive or investment compensation program.
1. Stakeholder relations, including possessing,
i. experience in leading communications strategies with stakeholders of a complex organization, or ii. a demonstrated ability to facilitate healthy relations in a diverse, multi-stakeholder environment.
1. Technology and innovation, including experience in,
i.
leading or advising a complex organization on the development or implementation of new technologies, including artificial intelligence, advanced analytics or data-driven technologies, or ii. developing or advising on the use of artificial intelligence or other emerging technologies in pursuit of new strategies, business opportunities or operational effectiveness.
1. Government and public policy, including,
i. experience in a senior role in government, or ii. expertise in public policy, municipal finance or the workings of government.
1. Environment, society and governance, including,
i. experience in leading and advising on the implementation of a sustainable investing program at a complex organization, or ii. expertise, or a recognized designation or accreditation, in climate change or broader sustainable investing. Collectively, sponsors must ensure the board covers all competency areas.
Eligibility and Commitment
Applicants should possess senior-level governance, leadership, financial, legal, risk, human resources, pension, investment, or municipal administration experience. Membership and active participation in AMCTO and/or other municipal professional organizations would seen as a significant benefit.
Candidates must be able to devote the time required for orientation, meeting preparation, Board and committee participation, and related stakeholder responsibilities. Candidates must also be prepared to meet with AMCTO Board of Directors/staff as necessary and provide updates regarding OMERS Board activity to allow for communication to the broader AMCTO membership.
The appointment is subject to all applicable OMERS eligibility requirements, due diligence, and approval processes including a background check. The term, remuneration, meeting schedule, and other conditions will be confirmed with shortlisted candidates.
