Associate General Counsel

We are seeking an experienced, commercially minded Associate General Counsel, to support the legal function for a growing global organization providing procurement and extended workforce solutions.

Reporting to the COO, this is a hands-on role for a lawyer who can balance legal risk with business objectives, provide practical guidance, and work effectively across a global organization.

What You’ll Do

- Commercial Contracts: Draft, review, and negotiate client and partner agreements, including MSAs, SOWs, Data Security Agreements, NDAs, and technology agreements.
- Supplier Contracts: Provide legal guidance and support to the contracts management team overseeing a large global supplier network.
- Legal Operations: Help develop and improve legal processes, templates, contracting standards, and systems to support an efficient and scalable legal function.
- External Counsel: Coordinate with external legal counsel as needed for specialized matters and international operations.
- Disputes & Risk: Assist with commercial disputes, claims, and litigation in partnership with internal stakeholders and outside counsel.
- Corporate Affairs: Support corporate governance, entity management, compliance activities, and other corporate initiatives.
- Business Partner: Provide practical legal guidance to management and business leaders on commercial, corporate, and risk-related matters.
- International Operations:



Support legal matters involving global operations and expansion, coordinating with local counsel when appropriate.

What We’re Looking For

- JD, LLB, or equivalent and membership in good standing with the Law Society of Ontario.
- 5–8 years of relevant legal experience, with meaningful in-house experience preferred.
- Experience drafting and negotiating B2B commercial agreements with clients, suppliers, or business partners.
- Solid commercial and corporate law experience, with exposure to employment, privacy, technology, and regulatory matters.
- Experience supporting a global or multi-jurisdictional organization is preferred.
- Experience in procurement, professional services, outsourcing, technology, or a related industry is an asset.
- Strong business judgment, negotiation, communication, and relationship-building skills.
- A practical, solutions-oriented approach with the ability to understand business priorities and manage legal risk.
- Ability to work independently in a fast-paced, entrepreneurial environment and effectively collaborate with senior leadership.
