The Role

We are looking for a newly called lawyer who is fluent with generative AI tools and appropriately skeptical of them. You will use Claude and other AI platforms to draft documents and conduct legal research, and you will be the professional accountable for the accuracy of everything that leaves your desk.

You will work directly with senior management, in-house counsel and external counsel on the firm’s investment, fundraising and corporate activities, with broad exposure to private credit, private equity, venture capital, corporate finance, securities regulation and commercial transactions. Expect more responsibility and variety than a typical first-year position.

What You Will Do

AI-assisted drafting and document review

Use AI tools to prepare first drafts, then review, revise and finalize documents including:

- Term sheets and letters of intent
- Loan, security and other financing documents
- Purchase and sale agreements
- Subscription agreements
- Offering memoranda and other private placement materials
- Information circulars
- Engagement, service and consulting agreements

You will:
- Check AI output line by line for errors, omissions, inconsistencies with the agreed terms or precedent, and provisions that do not fit the deal or the firm’s risk tolerance.
- Mark up and negotiate counterparty drafts, and prepare issues lists and summaries for management.
- Build and maintain precedents, templates,



clause banks and tested prompts so the team gets consistent, reliable results.

Transactions, governance and advisory

- Support due diligence for prospective investments and financings, using AI to organize and summarize materials and flag issues for follow-up.
- Maintain corporate records and minute books, and draft board and shareholder resolutions.
- Identify legal risks and give practical, business-oriented advice to management.
- Coordinate with external counsel and support special projects and strategic initiatives as needed.

What We Are Looking For

Required

- We're looking for someone who is smart, hard working, and resourceful.
- J.D. or LL.B. from an accredited Canadian law school, or an NCA Certificate of Qualification.
- Licensed as a lawyer by the Law Society of Ontario and in good standing. Lawyers licensed in another Canadian province who are eligible to transfer are welcome to apply.
- Hands-on experience using generative AI tools for legal or professional work, and a clear understanding of their limits, such as fabricated citations, outdated law and missed context.
- Sound judgment about when AI output can be relied on, when it needs rework, and when a question should go to senior or external counsel.
- Solid drafting, analytical and research skills, with exceptional attention to detail.
- Clear written and verbal communication, including the ability to explain legal issues in plain business terms.
- Strong organizational skills and the ability to manage multiple matters and deadlines at once.
- Curious, resourceful and comfortable taking ownership in a small, fast-moving team.
