Position: Senior Legal Counsel
Location: Toronto, ON (Don Mills & Eglinton)
Position Summary: We are seeking a Lawyer with approximately 5 to 8 years of both real estate and corporate transactional experience to join our legal team. This is not a role for someone looking to sit on the sidelines or simply identify risks. We are looking for a lawyer who understands how to take on and facilitate transactions with little oversight, solve a wide variety of problems, and help drive business outcomes while appropriately managing risk.
The ideal candidate will have significant experience leading and negotiating sophisticated real estate transactions and will bring a practical, results-oriented and commercially minded approach to legal advice.
This role is best suited to someone who has:
- Practiced at a respected law firm representing mid-sized entrepreneurial real estate owners, developers, investors, or private equity clients; or
- Worked in-house with a real estate investment, development, or asset management company operating in a fast-paced entrepreneurial environment.
RESPONSIBILITIES:
- Lead and manage complex real estate transactions across Canada and the United States.
- Draft, negotiate, and review purchase and sale agreements, development agreements, joint venture agreements, leases, financing documents, easements, servicing agreements, and related transaction documents.
- Support acquisitions, dispositions, financings, development projects, and asset management initiatives.
- Work closely with business leaders to identify risks, evaluate opportunities, and develop practical solutions that advance business objectives.
- Coordinate and manage external legal counsel when required.
- Assist with corporate, governance, financing, and commercial matters across the organization as well as managing litigation and assisting on contracts and related matters.
- Partner with senior executives and operating teams on strategic initiatives and transactions.
- Provide timely, concise, and commercially focused legal advice.
QUALIFICATIONS:
- Law degree and membership in valuable standing with the Law Society of Ontario.
- Approximately 5 to 8 years of relevant legal experience.
- Significant experience handling sophisticated real estate transactions.
- Strong drafting, negotiation, deal management and leadership skills.
- Exposure to corporate law, corporate governance, financing, or commercial transactions is a significant asset.
- Ability to manage multiple concurrent matters in a fast-paced environment.
- Strong business acumen and the ability to balance legal risk with commercial objectives.
