Corporate Paralegal
We're looking for a Corporate Paralegal to join a highly respected business law firm in Vancouver.

Our client is a well-established and nationally recognized corporate law firm known for advising entrepreneurs, private companies, investors, and growing businesses across a broad range of sophisticated business transactions. With a collaborative and non-hierarchical culture, the firm offers exposure to complex transactional work, including cross-border and international matters, while fostering professional growth and development.
The successful candidate will play a key role supporting the firm's Corporate and Commercial practice, with a strong emphasis on transactional work, including mergers and acquisitions, tax reorganizations, due diligence, and corporate reorganizations.

Corporate Paralegal Responsibilities:

- Independently manage corporate transactions from initiation through closing
- Conduct and coordinate due diligence processes, including corporate, PPSA, title, and other regulatory searches
- Prepare due diligence reports, summaries, and transaction-related documentation
- Draft ancillary transaction documents and corporate records arising from acquisitions, reorganizations, amalgamations, joint ventures, dissolutions, and changes in ownership
- Manage data rooms, closing checklists, closing agendas, and post-closing filings
- Coordinate execution, collection, and organization of transaction documents
- Prepare digital closing books and closing deliverables
- Assist with tax reorganizations, including implementing structures directed by legal counsel and accountants
- Maintain and update corporate records, minute books, and related corporate governance documents as required




- Collaborate with lawyers, clients, accountants, and other stakeholders throughout the transaction process
- Provide support on large-scale firm initiatives, precedent modernization projects, and additional corporate matters as needed

The Successful Candidate Has:

- Minimum 5+ years of corporate paralegal experience within a law firm environment
- Strong transactional experience involving mergers and acquisitions, corporate reorganizations, and commercial transactions
- Demonstrated ability to independently manage due diligence, closings, and post-closing requirements
- Experience working with accountants and implementing tax-driven corporate reorganizations
- Completion of an accredited Paralegal program
- Experience maintaining corporate records and minute books
- Strong proficiency with Microsoft Office Suite, Adobe Acrobat, DocuSign, BC Online, MyLTSA, and other legal technology platforms
- Exceptional attention to detail, document formatting, and organizational skills
- Ability to manage multiple priorities in a fast-paced practice environment
- Excellent written and verbal communication skills
- Robust problem-solving capabilities and sound professional judgment
- Collaborative, team-oriented mindset with a willingness to support colleagues when required




- Ability to work independently with minimal supervision while maintaining high-quality standards for client service

Preferred Qualifications:

- Experience with tax reorganizations and complex corporate restructuring transactions
- Exposure to cross-border and international transactions
- Securities or real estate law experience considered an asset
- Previous experience in a sophisticated corporate commercial practice handling mid-market transactions

Compensation and Benefits:

- The discussed salary range is $90,000 - $120,000, depending on experience
- Candidates with additional experience and higher compensation expectations may also be considered
