Private Dental Corporation | Toronto, Ontario The Opportunity

We are seeking a motivated and commercially minded Legal Counsel to join the in-house legal team of a growing private dental corporation. Reporting directly to the VP, Business and Legal Affairs, the successful candidate will have the opportunity to develop a broad and varied in-house practice, with a particular emphasis on health law and regulatory matters.

This is not a narrowly focused legal role. You will work closely with senior management and operational teams and be involved in a wide range of legal, commercial and business matters affecting the organization.

This position is ideally suited to a lawyer with 1–2 years of post-call experience, who is looking to build a diverse in-house practice. Articling students will also be considered.

What You'll Do

Your responsibilities will span a broad range of legal and business matters, including:

- Health Law & Regulatory: Advise on health-care regulatory requirements, professional obligations, privacy, patient records, consent and other health-law matters.
- Employment: Advise management on employment agreements, workplace issues, performance management, terminations and related matters.
- Commercial Contracts: Draft, review and negotiate a variety of commercial agreements, including vendor, service, consulting and technology agreements.
- Real Estate & Leasing: Review and negotiate commercial leases, including new leases, renewals, extensions, amendments and assignments.
- Acquisitions & Transactions: Assist with the acquisition of dental practices, including due diligence,



transaction documentation and post-closing matters.
- Litigation & Disputes: Assist with and manage litigation, employment disputes, contractual matters and other claims, including working with external counsel.
- Corporate & General Legal: Provide day-to-day legal advice across the company's operations and assist with corporate governance and other legal matters.

Business & Strategic ExposureAn important aspect of this role is the opportunity to participate in the business side of the organization. Working closely with the VP, Business and Legal Affairs, you will:

- Participate in strategic and operational initiatives.
- Work directly with senior management and business leaders.
- Gain exposure to the company's growth strategy, acquisitions and expansion initiatives.
- Develop an understanding of the commercial and operational considerations behind legal decisions.
- Provide practical, business-oriented legal advice that balances legal risk with the organization's objectives.

What We're Looking For

- Member of the Law Society of Ontario, ideally with 1–2 years of post-call experience.
- Articling students with strong academic credentials and a demonstrated interest in health, corporate or commercial law will also be considered.




- Strong interest in health law and the health-care sector.
- Excellent legal research, drafting and analytical skills.
- Strong communication and interpersonal skills.
- Ability to manage multiple matters and competing priorities.
- Practical, commercially minded approach to legal issues.
- Ability to work independently while collaborating effectively with senior management and operational teams.
- Experience in commercial, employment, corporate, real estate or litigation matters is an asset, but is not required.
