Our client is seeking a highly competent Corporate Governance Counsel to join their team in a fully remote capacity. This role is paramount in ensuring the company uphns highest standards of corporate governance, ethical conduct, and regulatory compliance across all its operations. You will be responsible for advising the board of directors and senior management on governance best practices, statutory compliance, and risk management. Key Responsibilities
- Advise the board of directors and committees on their duties, responsibilities, and best practices in corporate governance.
- Ensure compliance with the Companies Act, King IV Code, and other relevant corporate legislation and regulations.
- Manage the preparation and distribution of board and committee meeting materials, and record minutes.
- Oversee statutory compliance filings and disclosures.
- Develop and implement corporate policies and procedures related to governance and ethics.
- Conduct governance training for directors and senior management.
Requirements
- Admitted Attorney of the High Court of South Africa or equivalent legal qualification.
- Minimum of 7 years of experience in corporate law , with a significant focus on corporate governance and compliance.
- Deep understanding of the King IV Code of Corporate Governance and Companies Act.
- Experience advising boards and senior management on governance matters.
- Excellent communication, organizational, and analytical skills.
- Demonstrated ability to work independently and manage multiple priorities in a remote work setting.
