OverviewLaw Clerk - CorporateDowntown TorontoUp to 3 Days Hybrid Work Offered!Our client, an established, highly regarded and friendly firm is looking to add a Corporate Law Clerk to its team. This is a new full time permanent position.Duties and ResponsibilitiesDraft and review corporate documents as they relate to incorporations/organization of corporations, amalgamations, revivals, amendments, dissolutions, continuances, officer certificates, notarial certificates, officer certificates, annual resolutions, etc.Review of accountant or lawyer planning memos with respect to tax related corporate reorganizations, preparation of document checklist and draft documentation to effect proposed planReview of purchase agreements and preparation of closing agenda and appropriate closing documentation required to complete share and asset purchase and transactions, and corporate finance transactionsReview of corporate minute books, preparing a summary of deficiencies and documentation to rectify deficienciesConduct corporate searches and analyze/summarize search results.Assist with special projects as requiredOther duties as assignedQualificationsLaw Clerk Diploma from accredited institution5+ years' experience working within the Corporate Department in a law firmExtensive transactional experienceKnowledge of corporate statutes and regulationsExcellent organizational and time management skillsEffective verbal and written communication skillsAbility to work independently, following instructions with minimal supervisionDetail-oriented with the ability to work within time sensitive deadlines and manage multiple prioritiesExperience using OnCorp and CyberbahnStrong technical skills using Microsoft Office 2010 (Word, Outlook and Calendar)Experience using a document management system and corporate databaseSuccess in this role meansHaving a strong client service approachResourceful. Strong research, investigative and problem solving skillsThe ability to meet tight internal and external deadlines while managing multiple projects and competing with demands for resourcesExtreme accuracy and attention to detailBeing a self-starter with the ability to work in a collaborative, team based environment and a demonstrated ability to share knowledge with others in a clear and concise mannerAbility to be adaptable with regards to hours during busy periods to meet the demands of the roleDiscretion and confidentially is essential to this role and required at all timeInterested candidates should apply today!
