Corporate/Commercial Law Clerk

We are currently seeking an experienced corporate/commercial law clerk to join our business law practice on a full-time basis. This is a hands-on role offering the opportunity to work closely with our firm’s corporate lawyers on a broad range of corporate and commercial matters and transactions. Our practice serves private companies, business owners, entrepreneurs, financial institutions and private lenders across Ontario.
The ideal candidate will have experience in corporate and commercial law, a keen eye for detail, and share our commitment to excellence, integrity and client-focused service.
Primary Duties Include:
- Assisting lawyers with the day-to-day carriage of corporate and commercial matters from client intake to completion, including incorporations, amendments, dissolutions and annual filings.
- Organizing, preparing and maintaining minute books, including resolutions, registers, ledgers and corporate filings.
- Assisting with secured lending transactions for private and institutional lenders and borrowers, including preparation of security documents, PPSA registrations and corporate searches and transaction closing documents.
- Assisting with purchases and sales of privately held businesses, including due diligence, preparation and organization of closing documents, coordination of closings and completion of post-closing matters.
- Assisting with corporate reorganizations, including amalgamations, arrangements, continuances and share/asset restructurings.
- Drafting corporate and transaction documents including board and shareholder resolutions, officers' certificates, closing agendas, ancillary agreements and other closing documents.
- Working directly with lawyers, clients, accountants, financial institutions, opposing counsel and other transaction parties to help move matters toward completion.
- Communicating directly with clients throughout a matter, including obtaining information and instructions, coordinating signatures and closing requirements, scheduling appointments and responding to routine client inquiries.
- Opening and closing files, maintaining file organization and assisting with general administrative matters as required.
Required Skill Set:
- Experience as a corporate/commercial law clerk is preferred.
- Excellent computer skills.
- Proficiency with Microsoft Outlook and Word.
- Experience using a document management system is an asset.
- Experience with minute book management software is an asset.
- Familiarity with Dye & Durham software products is an asset.
- Punctual, responsible, and reliable.
- Demonstrated commitment to client service and professional representation of the firm.
- Detail-oriented with excellent verbal and written communication skills.
- Solid organizational skills, with the ability to multitask, manage competing deadlines and work well under pressure.
- Demonstrated ability to work collaboratively within a team environment and independently.
Additional Details:
- · Compensation: Competitive salary, together with bonus opportunities and other perks.
- · Vacation: Minimum of 3 weeks.
- · Regular Work Hours: Monday to Friday, 9 a.m. to 5 p.m., including 1 hour and 15-minute lunch break.
- · Work Location: On-site (819 Queen Street East, Sault Ste. Marie). Remote or hybrid work arrangements can be discussed.
- · Onsite Dress Code: Corporate or business casual.
- · Education: Post-Secondary Diploma or Certificate in law clerk/legal assistant studies or related field considered an asset but is not required.
- · Preferred Work Experience: Minimum of 3 years of experience working as a corporate/commercial law clerk or legal assistant.
