About the Role

Pulse Law is seeking a lawyer with a keen interest in transactional work, including mergers and acquisitions, equity and debt venture financing, fund formation, and day to day corporate-commercial and corporate governance work to join our fast-growing law firm. The successful candidate will excel in negotiation, have an eye for detail, and thrive in a collaborative environment.

Key Responsibilities

- Advise and support on a range of corporate matters, including transactions and day to day corporate-commercial tasks.
- Manage and support deal processes, including due diligence, closing coordination and transaction execution on a range of corporate transactions such as mergers, acquisitions, and equity and debt financings.
- Conduct thorough research on corporate law issues.
- Manage and assist with various day to day corporate legal matters including incorporation and organization, contract review and commercial drafting, corporate reorganizations, corporate governance and compliance.
- Draft, review, edit and negotiate contracts, agreements, memoranda, and other corporate documents necessary for client matters, while ensuring compliance with legal requirements.
- Organize client files, maintain internal databases, and ensure accurate record-keeping for ongoing matters.
- Coordinate with internal teams to manage deadlines and deliverables effectively.
- Participate in client meetings to gather information and understand business needs.
- Serve as a point of contact for clients, providing timely, professional, and courteous responses to inquiries.





Qualifications

- Juris Doctor (JD) degree from an accredited law school.
- Called to the bar in Ontario and a membership in good standing with the Law Society of Ontario.
- 0-2 years of experience in corporate law, with experience in transactional work, including mergers and acquisitions, equity and debt financing, commercial drafting and general corporate governance.
- Experience in drafting and negotiating a wide range of commercial agreements.
- Strong legal research and drafting skills.
- Proficiency in using legal research tools and legal technology.
- Robust communication skills, both written and verbal, with the ability to present complex information to clients clearly and effectively.
- Excellent client service skills.
- A strong work ethic, detail-oriented and proactive.
- Ability to work independently and collaboratively within a team while managing multiple matters and deadlines.
