Tempting Recruitment are working alongside our client, who are looking to recruit an experienced Associate to join their Capital Markets team based in Toronto.

JOB DETAILS

- PAY RATE: $235,000 - $310,000 Per Annum
- WORK TYPE: Permanent
- WORK PATTERN: Full Time
- LOCATION: Toronto, Canada

JOB ROLE A leading international law firm is seeking an outstanding junior to mid-level Capital Markets Associate to join its growing team in Toronto however ideally looking for someone who has either recently or interested in relocating from the US.

The duties and responsibilities of the role will include:

- Advise public and private companies, financial institutions and other market participants on a broad range of capital markets transactions.
- Work on U.S. securities offerings, including public and private debt and equity offerings.
- Assist with IPO and follow-on offerings, secondary offerings and other equity capital markets transactions.
- Draft and negotiate transaction documents, including underwriting agreements, purchase agreements, offering memoranda,



registration statements and related disclosure documents.
- Advise clients on U.S. securities laws, SEC requirements and stock exchange rules.
- Conduct due diligence and coordinate transaction workstreams with clients, investment banks, accountants and other advisers.

THE SUCCESSFUL CANDIDATE The successful candidate will have the following skills and competencies:

- Be a 2022–2024 J.D. graduate (or equivalent level of experience).
- Have strong Capital Markets experience, ideally gained at a leading international or peer law firm.
- Be admitted to the New York Bar and in valuable standing.
- Have meaningful U.S.

Capital

Markets experience.

- Be interested in relocating to Canada and building a long-term practice there.
