Overview

TRC Solar is part of a privately held group of renewable-energy and technology companies. Our businesses develop and commercialize solar-energy projects, patented technologies and consumer products in Canada and the United States. We are seeking a practical, business-minded Corporate Counsel to work directly with senior leaders across the group.

This is a broad in-house role for a lawyer who wants ownership of real business matters from the initial decision through negotiation, closing, implementation and, when necessary, dispute resolution. No candidate is expected to be an expert in every area. The right person will have a strong corporate and commercial foundation, sound judgment, excellent research and writing skills, and the ability to recognize when specialist external counsel is required.

Duties

- Draft, review and negotiate a wide range of agreements, including customer and services agreements, power purchase and rooftop lease arrangements, EPC and construction contracts, equipment and supply agreements, manufacturing, software and technology licences, distribution and commercialization agreements, NDAs, employment and consulting agreements, and settlement documents.
- Advise on contract structure and risk allocation, including scope, pricing and payment, schedules, warranties, indemnities, liability limits, insurance, security, intellectual property, change orders, defaults, termination and dispute resolution.
- Support debt, equity and project financings, including term sheets, loan and security documents, warrants, investor documentation, special-purpose entities, due diligence, closing conditions, regulatory filings and post-closing obligations.




- Manage corporate governance and entity matters, including incorporations, minute books, shareholder and board approvals, shareholder and joint-venture arrangements, reorganizations, share issuances, acquisitions and other strategic transactions.
- Support regulatory and compliance work affecting renewable-energy projects, medical and connected technologies, privacy and data, employment, government funding and tax-credit programs, audits, securities matters and cross-border operations.
- Help protect and commercialize the group’s patents, trademarks, software, confidential information and other intellectual property, working with patent, trademark and specialist counsel as appropriate.
- Manage commercial claims, litigation, arbitration and appeals. Preserve rights and evidence, assess strategy and settlement options, prepare or review pleadings and other materials where appropriate, and efficiently direct external counsel.
- Give clear, timely advice to executives and operational teams; maintain useful templates and corporate records; and build practical legal processes that reduce risk, delay and unnecessary external legal expense.

What you bring

- A JD, LLB or equivalent law degree and membership in good standing with the Law Society of Ontario.




- Approximately 3+ years of post-call experience in a law firm or in-house legal department, with a solid foundation in corporate and commercial law.
- Solid drafting, negotiation, legal research and written advocacy skills, with careful attention to both legal detail and commercial outcomes.
- The ability to manage a varied and time-sensitive file load independently, set priorities, communicate directly with senior decision-makers and follow matters through to completion.
- A practical, solutions-oriented approach. You can explain risk clearly, recommend a path forward and distinguish issues that can be handled internally from those requiring specialist advice.
- Comfort using modern legal technology, including AI-assisted tools, with appropriate confidentiality safeguards and independent verification of the work product.

Experience in any of renewable energy, construction and projects, secured or project finance, securities, intellectual property and licensing, regulated technology, privacy, or commercial litigation is an asset. Previous in-house experience is helpful but not required.

Pay: $75,000.00-$115,000.00 per year
