Corporate Law Clerk

Salary: Up to $70K (Based on Experience)
Key Responsibilities
- Draft and prepare corporate legal documentation relating to annual resolutions, incorporations, amalgamations, financings, dissolutions, and other corporate transactions.
- Conduct minute book reviews and maintain corporate records, registers, and related documentation.
- Conduct corporate searches and analyze and summarize search results.
- Prepare and process registrations, discharges, and amendments relating to security interests under applicable PPSA legislation.
- Assist with corporate reorganizations and share and asset purchase transactions.
- Prepare and maintain closing checklists and transaction documentation.
- Review and draft closing documents, including resolutions, officers’ certificates, and other supporting documentation.
- Prepare closing books and draft reporting letters.
- Maintain accurate and up-to-date electronic corporate records and minute books.
Qualifications
- Minimum of 3 years of direct, relevant, and practical experience in corporate law.
- Experience with Minute Box is required.
- Law clerk certification is considered an asset.
- General knowledge of applicable corporate statutes and regulations, including the Canada Business Corporations Act (CBCA), Ontario Business Corporations Act (OBCA), and Personal Property Security Act (PPSA).
- Strong analytical, organizational, and problem-solving skills.
- Ability to effectively manage multiple priorities in a fast-paced environment.
- Strong time-management skills with a demonstrated ability to meet deadlines.
- Professional, detail-oriented, and able to work effectively under pressure.
- Proficiency with Microsoft Office, including Word and Excel.
- Experience with electronic minute book databases is considered an asset.
- Ability to work independently with minimal supervision while also contributing effectively as part of a collaborative team.
