Role Overview The Senior Vice President, Capital Markets, Investments and Financial Strategy will lead the organization's capital formation, structured finance, investment underwriting, capital allocation, and financial planning activities. Reporting directly to the Chief Financial Officer, this executive will be responsible for developing and executing financing strategies that support continued growth as a developer, owner, and operator of community solar, distributed generation, and energy storage assets.

Key Responsibilities

Capital Markets and Capital Formation

- Develop and execute the overall capital markets strategy in partnership with the CFO, CEO, and executive leadership team.

- Lead capital-raising activities across project, portfolio, asset, and corporate financing structures.

- Evaluate and execute financing alternatives, including construction debt, term debt/back-leverage, tax equity, tax credit transfers, preferred/growth equity, corporate debt, revolving credit facilities, joint ventures, structured capital, and asset-level refinancings.

- Develop financing strategies that balance cost of capital, liquidity, execution certainty, covenant requirements, risk allocation, and long-term enterprise value.

- Lead negotiations with commercial banks, institutional investors, infrastructure funds, tax equity providers, private credit providers, investment banks, rating agencies, and other capital partners.

- Manage financing processes from initial market engagement through term-sheet evaluation, diligence, documentation, closing, and post-closing compliance.

- Maintain strong relationships with existing capital providers while expanding access to new institutional capital sources.

- Monitor capital markets conditions, interest rates, lender requirements, tax equity availability, investor appetite, and renewable energy financing trends.

- Formulate recommendations regarding when to finance, refinance, hold, sell, aggregate, or monetize individual assets and portfolios.

Project and Portfolio Capitalization Strategy
- Establish a disciplined process for prioritizing projects and portfolios for capitalization based on development maturity, interconnection status, permitting, site control, subscriber readiness, offtake arrangements, revenue certainty, and projected returns.

- Partner across Development, Project Finance, Engineering, Procurement and Construction (EPC), Asset Management, Subscriber Management, Legal, Tax, Accounting, and Operations to assess project readiness and financing risk.

- Create and maintain a prioritized capitalization roadmap for the development pipeline and operating portfolio.

- Recommend optimal timing, structure, and project groupings (individual, aggregated portfolios, warehouse facilities, joint ventures, or corporate capital).

- Assess the perks and risks of deploying limited capital across community solar, C&I; solar, standalone storage, and hybrid solar-plus-storage opportunities.

- Identify capital constraints, portfolio concentration risks, funding gaps, and dependencies affecting construction schedules or commercial operation dates, recommending corrective actions or alternative structures as needed.

- Monitor capitalized projects against underwriting assumptions, financing milestones, budgets,



and expected returns.

Project Underwriting and Investment Analysis
- Oversee financial underwriting for community solar, distributed generation, energy storage, and related investment opportunities.

- Establish consistent underwriting standards, investment criteria, risk classifications, and minimum return requirements.

- Evaluate project and portfolio economics, including development/construction/operating costs, production assumptions, subscriber acquisition/management costs, PPA terms, community solar credit values, renewable energy incentives, ITCs, tax credit adders, debt sizing, and tax equity economics.

- Assess risks related to development status, interconnection, permitting, supply chain, customer concentration, regulations, and operating performance.

- Maintain underwriting templates, approval thresholds, risk-assessment methodologies, and investment review procedures.

- Review actual project and portfolio performance against original underwriting assumptions to identify financial causes of variances and incorporate lessons learned into future standards.

Financial Modeling and Sensitivity Analysis
- Provide executive-level oversight of project, portfolio, financing, and enterprise financial models, directly reviewing, modifying, and challenging complex models.

- Manipulate models to evaluate alternative capital structures, financing terms, project groupings, development schedules, and operating assumptions.

- Conduct sensitivity, scenario, and downside analyses on key parameters including capital costs, interest rates, debt capacity, tax equity terms, production levels, subscriber performance, and exit values.

- Evaluate key return metrics, including IRR, NPV, ROIC, cash yield, debt-service coverage, leverage, and payback period.

- Establish model governance, version control, review standards, ownership expectations, and approval protocols.

- Oversee the continued development of an integrated enterprise model connecting the pipeline, operating assets, financing obligations, liquidity requirements, and long-range business plan.

Investment Committee Leadership & Communication
- Lead the financial preparation and presentation of project capitalization and investment recommendations to the Investment Committee.

- Prepare and oversee Investment Committee memoranda, underwriting summaries, financing comparisons, risk assessments, and approval materials.

- Articulate investment rationale, proposed capitalization structures, expected returns, key assumptions, principal risks, sensitivity cases, and recommended approval conditions.

- Respond to questions and challenges from Investment Committee members, investors, lenders, executive leadership, and Board members.

- Maintain accurate records of Investment Committee decisions, conditions, and follow-up requirements while monitoring approved investments against commitments.

Financial Planning and Analysis (FP&A;)
- Provide strategic direction and executive leadership to the FP&A; function.

- Oversee annual budgeting, periodic forecasting, long-range planning, liquidity forecasting, management reporting, and performance analysis.

- Integrate project financing, development spending, construction activity, operating performance, and corporate expenses into the consolidated financial outlook.

- Partner with the Senior Director of FP&A; to establish planning calendars, reporting standards, financial assumptions, and management accountabilities.

- Develop multi-year capital deployment plans and evaluate the financial implications of organic development, acquisitions, platform investments, and asset sales.

- Provide timely liquidity and capital analysis to the CFO and executive team to manage leverage, preserve liquidity, and identify emerging financial risks.

Structured Finance and Transaction Execution
- Design and evaluate financing structures tailored to community solar, distributed generation, and energy storage assets.

- Evaluate proposed structures for cost, flexibility, cash-flow impact, covenant risk, collateral requirements, recourse, tax consequences, and execution complexity.

- Coordinate internal/external diligence and partner with Legal, Tax, and Accounting to review and negotiate financing agreements, credit agreements, guarantees, and tax equity documents.

- Develop financing playbooks, diligence checklists, approval requirements, and transaction-management processes.

- Oversee post-closing compliance with material financing obligations across internal departments.

Team Leadership & Executive Partnership
- Serve as a key strategic finance advisor to the CFO, CEO, executive leadership team, and Investment Committee.

- Lead, mentor, and build a collaborative, commercially disciplined, and high-accountability FP&A; and investments team.

- Establish clear roles, decision rights, performance expectations, and development plans for direct reports.

- Strengthen internal team capabilities across financial modeling, project underwriting, capital markets, forecasting, and transaction execution.

Qualifications
- Education: Bachelor’s degree in Finance, Accounting, Economics, Business, Engineering, or a related field required. MBA, CFA, CPA, or other relevant advanced credential preferred.

- Experience: Minimum of 15 years of progressive experience in capital markets, project finance, structured finance, infrastructure investing, investment banking, renewable energy finance, private equity, or corporate finance.

- Industry Background: Significant experience within the renewable energy, power, infrastructure, or distributed generation sectors strongly preferred.

- Capital Raising: Proven track record of raising and structuring capital (project/corporate debt, tax equity, preferred equity, private credit, joint ventures, growth equity) for solar, community solar, energy storage, or infrastructure assets.
