We are seeking to grow our corporate team by hiring a Corporate Law Clerk in our Ottawa office. This is an incredible opportunity to join a world-class group of professionals at an established Canadian law firm with a significant international legal practice. It is also an opportunity to be part of a collaborative, collegial and innovative team, which has a significant focus on training, mentorship and development.
We are looking to add to the existing strength of our team by bringing in a Corporate Law Clerk with experience in financings and acquisitions and other general corporate matters, including incorporations, amendments, continuances, amalgamations, dissolutions and other reorganizations. The successful candidate will be responsible for document preparation in connection with the foregoing as well as: maintaining and updating corporate minutes books; conducting minute book reviews and providing summaries relating to same; maintaining and updating lists of active and inactive companies; assisting with conducting corporate due diligence and extra-provincial, business name, partnership and other registrations; and performing corporate and PPSA searches and filings.
The ideal candidate will possess a Law Clerk Diploma/Certificate and will also have:
- 2 to 5 years of related experience (applicants with more extensive experience are welcome and will be considered according to their experience level);
- an understanding of, and familiarity with, corporate statutes (Business Corporations Act (Ontario),
Canada Business Corporations Act, not-for-profit, non-share capital corporate statutes (Federal and Ontario)) and other applicable policies and procedures;
- excellent team, client and communication skills;
- solid writing skills (including attention to detail) when drafting documents, reports and correspondence;
- strong organizational skills and an ability to effectively multi-task, manage conflicting timelines and work under pressure; and
- an ability to take initiative and work independently when appropriate.
While not required, bilingualism and knowledge of EnAct would be considered assets.
