Mateal Healthcare Inc. is seeking a strategic Co-Founder and/or Investor to participate in the development and scale-up of an integrated healthcare services platform in the Greater Toronto Area.

We are seeking an individual or strategic partner prepared to contribute up to $250,000 in growth capital , either independently or as part of a structured investment syndicate.

This opportunity is designed for an investor or entrepreneurial healthcare skilled who is interested not merely in funding a startup, but in building an investable healthcare enterprise with multiple revenue channels, tangible assets, clinical services, and long-term scalability.

The founding team brings more than 10 years of healthcare experience in Canada , combined with business development, operational, and entrepreneurial expertise.

THE BUSINESS MODEL

Mateal Healthcare is being developed around an integrated healthcare ecosystem designed to combine:

- Diagnostic imaging and medical laboratory services
- Medical X-ray
- Ultrasound
- Blood-work services
- Private Home Care
- Home Day Care
- Corporate Wellness
- Complementary consumer-facing services

The strategy is deliberately phased to manage capital requirements and establish revenue before the most capital-intensive diagnostic infrastructure is deployed. The operating plan calls for:

Phase I — Revenue Foundation | Months 1–4

Launch Private Home Care and Home Day Care operations to establish the brand, generate revenue, and create the administrative foundation for the broader platform.

Phase II — Cash-Flow Stabilization | Months 4–8

Introduce Nails Spa and Corporate Wellness services to establish a recurring, customer-facing revenue base and strengthen cash flow before significant diagnostic equipment deployment.

Phase III — Clinical & Diagnostic Integration | Months 8–12

Deploy Medical X-ray, Ultrasound, and Blood Work capabilities, using the established operating platform and cash flow to support the more capital-intensive diagnostic phase.

CAPITAL COMMITMENT Target Capital Raise: $250,000

We are open to structuring the investment through one strategic investor, a Co-Founder partnership, or multiple qualified investors.

The capital structure and ownership arrangement will be negotiable based on the level of capital committed, strategic contribution, operational involvement, expertise, and long-term value brought to the company.

ROLE & RESPONSIBILITIES The Strategic Co-Founder / Investor may participate in some or all of the following areas, depending on the agreed structure:

Strategic Leadership

- Participate in corporate strategy and long-term growth planning

- Support development of the company's healthcare platform

Capital & Financial Strategy

- Provide or facilitate growth capital
- Support future fundraising initiatives
- Assist with financial strategy, capital allocation, and investor relations
- Identify opportunities for strategic financing and asset-backed funding

Healthcare & Clinical Development

- Support development of diagnostic and laboratory operations
- Assist with healthcare-sector partnerships and relationships
- Contribute industry expertise and market intelligence

Business Development

- Develop strategic partnerships
- Identify referral, institutional, corporate, and community opportunities
- Support customer and market expansion

Real Estate & Infrastructure

- Participate in strategic facility acquisition or leasing discussions
- Identify opportunities involving healthcare-oriented real estate
- Support development of an integrated healthcare hub

Governance & Growth

- Participate in board-level or advisory responsibilities, where applicable
- Support governance, risk management, compliance, and organizational development
- Help prepare the company for future institutional investment or strategic acquisition

Healthcare / Diagnostics Experience

Healthcare, laboratory, medical imaging, clinical operations, health technology, senior care,



or related experience is strongly desirable but not mandatory.

The current capital strategy is designed around multiple sources of capital, including strategic investors and asset-based financing, rather than relying exclusively on one funding source. THE INVESTMENT THESIS The company is being developed around a simple principle:

Rather than deploying the entire capital requirement into expensive diagnostic infrastructure immediately, the business plan stages investment according to the maturity of each operating division.
