About the role
Two positions | Reports to:
Senior Director, Trust & Safety
As an AML Compliance Law Clerk, you will administer and maintain CMLS's commercial mortgage AML/ATF compliance program. Reporting to the Senior Director, Trust & Safety, this role is based in Toronto or Montreal and is responsible for completing know-your-client (KYC) processes, conducting complex beneficial ownership determinations for corporations, trusts, and partnerships, evaluating and documenting client risk, and conducting periodic client reviews. You will also handle AML escalations, including the preparation and submission of Suspicious Transaction Reports (STRs) directly to FINTRAC, and ensure all compliance records are accurately maintained in accordance with PCMLTFA requirements.
You’ll support audit and FINTRAC examination readiness and help ensure our program remains current with evolving regulatory requirements and guidance.
In this role, your work will include:
Client Due Diligence & KYC
- Conduct full KYC onboarding reviews for commercial borrowers, guarantors, indemnitors, and related parties
- Conduct enhanced due diligence on a risk-assessed basis
- Collect and validate corporate documentation, including articles of incorporation, share registers, trust deeds, and partnership agreements
- Identify and verify beneficial ownership in complex, multi-layered, and multi-entity structures, documenting ownership charts with clear evidentiary records
- Conduct periodic KYC refresh reviews on existing clients in accordance with their assigned risk tier
- Update client risk ratings in response to material changes or scheduled risk tier reviews
- Apply CMLS' AML risk rating methodology at onboarding and throughout the client relationship, including geographic and industry risk, PEP exposure, and adverse media
- Ensure all risk rating rationale is clearly documented and audit-defensible
Sanctions & Screening
- Conduct sanctions, PEP, and adverse media screening at onboarding and on an ongoing basis, documenting outcomes and escalating as appropriate to the Senior Director, Trust & Safety
- Identify and document transactions or behaviours that may give rise to reasonable grounds to suspect money laundering or terrorist financing
- Prepare and submit Suspicious Transaction Reports to FINTRAC, escalating to the Senior Director, Trust & Safety as appropriate
File Integrity & Regulatory Readiness
- Maintain complete, well-organized AML files in accordance with PCMLTFA record-keeping requirements
- Support internal audits and FINTRAC examinations, responding to regulatory enquiries in collaboration with the Senior Director, Trust & Safety
- Assist in maintaining and updating AML procedure documentation, checklists, and templates as directed
Professional Development
- Maintain current knowledge of FINTRAC guidance, PCMLTFA obligations, and AML/ATF best practices as they apply to the mortgage sector

You’ll be successful if you have
- A paralegal or law clerk diploma or equivalent legal training
- 5+ years of experience in corporate law or commercial real estate transactions, with extensive exposure to complex entity structures
- A deep understanding of corporate structures and documentation, including multi-layered and multi-entity ownership arrangements
- Strong documentation discipline and ability to maintain clear, thorough, and audit-defensible records
- High attention to detail and exceptional analytical skills
- Sound judgment in identifying and escalating risk indicators
- Ability to handle sensitive and confidential information with discretion
- Experience in KYC, regulatory compliance, or familiarity with PCMLTFA and FINTRAC guidance is an asset
- French-English bilingualism is required for the Montreal position and considered a strong asset for the Toronto position
