Key Responsibilities

- Independently manage corporate and commercial files from intake to closing.

- Draft and negotiate M&A;, financing, restructuring, joint venture, and commercial agreements.

- Act as a primary client contact and provide practical business-focused legal advice.

- Mentor junior lawyers and collaborate on complex matters.

- Support client development, referrals, and business development initiatives.

- Identify opportunities to improve processes and efficiency.

Qualifications

- J.D./LL.B. and in good standing with the Law Society of Ontario.

- 4+ years of corporate/commercial legal experience.

- Strong drafting, negotiation, research, and file management skills.

- Experience with corporate structures, M&A;, governance, and commercial contracts.

- Some technology law exposure is preferred.

- Solid client communication and relationship-building skills.

- Entrepreneurial, adaptable, and comfortable working independently.
