POSITION PURPOSE The Lead Corporate Controller is responsible for the accounting, financial reporting, technical accounting, internal controls, treasury, and audit activities of Helus Pharma during a 20-month maternity leave contract. Reporting to the Chief Financial Officer, this role provides senior financial leadership and ensures continuity of the Company’s accounting and reporting functions throughout the contract period.

The position leads the monthly, quarterly, and annual close processes and oversees the preparation of consolidated financial statements and public company disclosures in accordance with IFRS, applicable Canadian securities requirements, and U.S. SEC reporting requirements applicable to Foreign Private Issuers. The role also oversees accounting activities associated with Helus Pharma’s operations in Canada, the United States, the United Kingdom, the Netherlands, and Ireland.

As a senior hands-on member of the Finance team, the Lead Corporate Controller provides technical accounting guidance on complex and non-routine transactions, maintains appropriate financial controls and accounting policies, and serves as the primary Finance liaison with external auditors and other accounting and financial service providers.

The role partners closely with the CFO, Finance leadership, executive management, external auditors, and other functional leaders on financial reporting, governance, treasury, financing activities, and other matters requiring accounting expertise.

KEY RESPONSIBILITIES

- Lead the monthly, quarterly, and annual accounting close processes, including general ledger activities, journal entries, reconciliations, consolidations, accounts payable, payroll accounting, and statutory reporting.




- Oversee the preparation of consolidated annual and interim financial statements and related management reporting in accordance with IFRS and applicable securities reporting requirements.
- Lead the financial reporting components of SEDAR+ and EDGAR filings, including annual and interim financial statements, MD&A;, Annual Information Forms, information circulars, and material change reporting, as applicable.
- Ensure financial disclosures and supporting documentation are complete, accurate, appropriately reviewed, and consistent with applicable Canadian securities legislation and SEC requirements for Foreign Private Issuers.
- Coordinate financial information, analysis, and reporting required for the Audit Committee and Board of Directors, including supporting executive certifications and disclosure controls.
- Oversee accounting and consolidation for subsidiaries in Canada, the United States, the United Kingdom, the Netherlands, and Ireland, partnering with local advisors as required to address statutory, tax, payroll, and reporting obligations.
- Research, evaluate, document, and conclude on complex accounting matters under IFRS, including share-based compensation, financing transactions, business combinations, impairment assessments, foreign currency matters, and other non-routine transactions.
- Maintain accounting policies, technical accounting memoranda, financial reporting procedures, and supporting documentation, and assess the impact of new or amended accounting standards.
- Support the Company’s internal control over financial reporting and SOX compliance activities, partnering with control owners and SOX personnel to identify control gaps, strengthen processes, and support remediation activities.
- Maintain effective disclosure controls and support financial and enterprise risk management activities relevant to the Finance function.
- Lead the annual external audit and interim review processes, serving as the primary Finance liaison with external auditors and coordinating audit requirements, documentation, and responses.
- Oversee treasury activities, including cash management, liquidity monitoring and forecasting, banking relationships, and foreign exchange exposure.
- Provide accounting and financial reporting support for capital markets activities, including equity and debt financings and at-the-market programs.
- Oversee the accounting, valuation, reconciliation, and disclosure of equity compensation arrangements, including stock options, restricted share units, warrants, and employee share purchase programs, as applicable.
- Coordinate with external specialists, transfer agents, tax advisors, payroll providers, valuation professionals, and other Finance service providers, including oversight of deliverables and service quality.
- Provide senior oversight of ERP and financial reporting systems,



accounting workflows, and finance process automation to maintain reliable and scalable financial operations.
- Identify and implement improvements to accounting processes, controls, reporting workflows, and documentation while maintaining appropriate segregation of duties and governance.
- Provide leadership, coaching, work allocation, and technical guidance to Finance and Accounting team members, supporting performance and development throughout the contract period.
- Provide accounting and financial due diligence support for strategic transactions, partnerships, licensing arrangements, and commercialization-readiness initiatives where required.

Experience & Qualifications

- Bachelor’s degree in Accounting, Finance, Business Administration, or a related discipline required.
- Chartered Qualified Accountant (CPA) designation required.
- Advanced degree in Accounting, Finance, Business Administration, or a related field is an asset.
- Typically 10+ years of progressive accounting and financial reporting experience, including significant experience in a senior controllership, corporate accounting, or financial reporting capacity.
- Demonstrated experience within a publicly traded company required; biotechnology, pharmaceutical, life sciences, or another highly regulated industry strongly preferred.
- Public accounting experience with a recognized accounting firm is preferred.
- Advanced knowledge of IFRS and demonstrated experience researching and documenting complex and non-routine accounting matters.
- Demonstrated knowledge of Canadian public company reporting requirements and SEC reporting requirements applicable to Foreign Private Issuers.
- Hands-on experience supporting or preparing SEDAR+ and EDGAR filings, including annual and interim financial reporting and related disclosure documents.
- Experience coordinating external audits and preparing financial reporting materials for Audit Committee and Board review.
- Strong knowledge of internal control over financial reporting, SOX requirements, disclosure controls, and financial governance practices.
- Experience with multinational accounting and consolidation, including foreign currency accounting and coordination of local statutory reporting requirements.
- Experience with treasury and liquidity management, equity compensation accounting, payroll accounting, and capital markets transactions.
- Experience overseeing ERP and financial reporting systems and implementing improvements to accounting processes, controls, and reporting workflows.
- Demonstrated ability to lead and develop accounting professionals while remaining directly involved in complex accounting and reporting activities.
- Strong written and verbal communication skills, with the ability to communicate technical accounting and financial reporting matters clearly to executive leadership, auditors, and other stakeholders.
- Sound professional judgment and the ability to maintain financial reporting and operational continuity in a senior contract capacity.
