SK Legal is a Calgary-based corporate, commercial and M&A; law firm with experience working with public companies on the CNSX, TSXV and TSX. The principal of SK Legal is exploring the establishment of a new, independently operated natural resources company and is seeking an experienced geoscientist or natural resources professional interested in helping identify, evaluate and ultimately acquire compelling oil & gas and/or mining assets. SK Legal is advertising this opportunity on behalf of its principal in connection with this proposed new business.
Job Summary – Calgary/Alberta | Oil & Gas, Mining & Natural Resources
We are seeking an experienced geoscientist or natural resources professional interested in helping build and lead a new resource-focused company. The goal woud be to collaborate in identifying a viable target for our oil & gas and/or mining asset and then to undertake the necessary steps to complete an initial public offering.
This is not a conventional job posting for employment. We are looking for an experienced and entrepreneurial resource professional who is interested in starting their own company, excited about the prospect of participating in a public junior issuer and can provide the technical expertise and industry knowledge necessary to identify, evaluate and help acquire attractive oil & gas and/or mining opportunities.
We intend to partner with the successful candidate and provide the initial business infrastructure, legal/commercial and M&A; expertise and certain startup capital. We would also undertake the required legal work to complete the public offering of the company. As such, the salary range posted on this ad is indicative in nature only.
Our initial objective is simple: identify technically compelling and potentially undervalued resource assets, conduct disciplined technical and commercial due diligence, acquire or obtain an interest in the right opportunity, and build a company around the successful development of those assets. Ultimately, we would aim to complete an initial public offering or similar.
The Opportunity The successful candidate would work directly with the founder to develop the business from the ground up, including:
- sourcing and identifying prospective oil & gas, mining and other natural resource opportunities;
- screening potential acquisitions and distinguishing technically compelling assets from speculative or promotional opportunities;
- reviewing geological, geophysical, drilling, production, reserve/resource, assay and other available technical data;
- conducting and/or coordinating technical due diligence on prospective acquisitions;
- identifying material geological, operational and development risks;
- evaluating historical exploration or development work and determining what additional work is required to properly assess an opportunity;
- developing preliminary technical and economic assessments of prospective assets;
- recommending whether particular opportunities should be acquired, optioned, farmed into,
further investigated or rejected;
- assisting in the negotiation and structuring of acquisitions, options, joint ventures, farm-ins and other resource transactions;
- developing exploration and/or development strategies following an acquisition;
- coordinating specialized geologists, engineers, geophysicists and other technical consultants where additional expertise is required;
- building relationships with resource owners, operators, prospectors, technical professionals, investors and other industry participants; and
- ultimately providing the technical leadership necessary to build and grow a significant Canadian natural resources company.
Depending upon the opportunities identified, the company may pursue oil & gas assets, mineral exploration properties, development-stage mineral assets or other compelling opportunities within the Canadian natural resources sector. For a sufficiently compelling opportunity, the longer-term strategy may include raising outside capital, completing additional acquisitions and potentially accessing the Canadian public capital markets.
Who We Are Looking For
We are particularly interested in someone with:
- 10+ years of substantive experience in the Canadian oil & gas, mining or natural resources industries;
- significant experience evaluating resource assets or acquisition opportunities;
- strong geological and/or technical expertise applicable to oil & gas or mineral assets;
- experience interpreting geological, geophysical, drilling, production, reserve/resource and/or exploration data;
- experience conducting or participating in technical due diligence;
- the ability to identify both the potential upside and material technical risks associated with an asset;
- experience developing exploration, drilling or development programs;
- familiarity with the commercial economics underlying resource development;
- an established network within the Canadian natural resources sector;
- strong commercial judgment and the ability to communicate technical matters to non-technical business partners and investors; and
- an entrepreneurial interest in building and owning a company rather than simply filling an existing position.
A degree in geology, geophysics, geological engineering, petroleum engineering or another relevant technical discipline is preferred. A P.Geo., P.Eng. or comparable professional designation would be a significant asset. Experience with resource-sector acquisitions, junior public companies, NI 43-101, reserve/resource evaluation, capital markets or technical disclosure would also be particularly valuable.
We recognize that oil & gas and mineral exploration involve different technical disciplines. We do not expect one individual to be an expert in every area. We are particularly interested in individuals who possess deep expertise in at least one resource sector, solid commercial instincts, and the judgment to recognize when additional specialist expertise is required.
Compensation Structure
We are flexible for the right individual.
Possible structures include salary, consulting compensation, project-specific participation, performance-based compensation, equity participation or a combination of these arrangements.
We are specifically interested in speaking with experienced professionals who would be excited by the opportunity to have a meaningful role in the ownership, direction and growth of the business.
This is not a conventional employment-based role. As such, the responsibilities and time requirements may ramp up gradually and therefore may be casual and/or part-time at first.
Candidates who have accumulated substantial industry experience and have thought about building something of their own and charting their own path are particularly encouraged to apply.
Those primarily seeking a conventional 9:00 a.m.–5:00 p.m. position with a predetermined salary, benefits package and defined corporate career path are unlikely to find this opportunity suitable.
Above all, we are looking for someone who combines technical credibility, commercial judgment and an entrepreneurial mindset and who wants to use those skills to identify an exceptional resource opportunity and build a business around it.
